"You know our Customers insist on wooden cases. They say they're safer for keeping in the open air." "Surely you don't mean that this valuable equipment may be stored out-of-doors. The cases must have some kind of protecting covering. Well – well. In that case we don't seem to have any choice. What a shame!"

"Unfortunately I can't do anything about it at the moment, but I still hope to be able to convince our Customers. Let's just give it time."

OK. Let's start today the other way around. We don't seem to have any remarks to the Insurance Clause since this is 'your responsibility, and we don't mind your insuring the goods with the Soviet underwriters whatever their name." "That's a good start. What about the Guarantee Clause?" "We'd like you to be more specific in the wording of some points, for example: "The Sellers guarantee easy technical maintenance of the equipment delivered."

V. "I agree this part and some other parts of the Guarantee Clause should be reworded. I want it clearly stated that the Sellers guarantee the trouble-free operation of the equipment that is, its reliability and maintainability. As to easy technical maintenance we mean convenient dismantling during repairs, easy way of performing regular (that is, preventive periodic) maintenance operations. But since the whole production process including maintenance will be computerized, it'll come to current continuous maintenance, won't it?"

Mr B. "I see what you mean. It should be reworded and given under

the maintainability heading, combining current continuous

maintenance operations and the ones performed at fixed

intervals. So far both forms are a must."

V. "Very good. We very much appreciate your opinion on this

matter. Thank you." Mr B. "It's nothing at all. We're also interested in the faultless work

of the production line." V. "What about the duration of the guarantee period? You seemed

to be against it?"

ii B. "Well, yes, at first I had some doubts because our general practice is only 12 months from the date of putting the equipment into operation. But on second thoughts and after a consultation we came to the conclusion that we could agree to the given wording, i.e. "The guarantee period is 18 months from the date of putting the equipment into operation and 24 months from the date of shipment." As they say, Mr Vetrov, "The proof of the pudding is in the eating." And I hope you'll find our "pudding" to your liking."

V. "Oh, Mr Brownie, let's hope for the best. Now comes the Sanc­tions Clause. Any remarks:"

Иг В. "Yes as a matter of fact quite a few of them. First, we cannot agree to paying penalty for something we are not quite responsible for." V. "What do you mean?"

MrB. "We may pay penalty for delay in delivery and not for delay in putting the equipment into operation. We re not responsible for that, we're only supposed to supervise the work done by you, aren't we? Or do'you mean that we have to pay double penalty for one and the same fault - "delay in delivery ?" V. "You've got something there. We must think it over again.

What else?"

Mr B. "How can you coordinate a provision of rejecting the equipment if delay in delivery exceeds four months and the delivery of complete equipment? You remember that according to the Shipment Clause, shipment is to be made in three consignments? What will happen if you have the right to reject the first or the second or the third consignment?" V. "D'you mean to say that will be equal to cancelling the whole

contract?" Mr B. "Exactly!"
