Article o. Terms used

0.1 The CONTRACT:

this agreement between the Customer and the Contractor including all its appendices.

0.2 PARTIES TO THE CONTRACT:

the Customer and the Contractor hereinafter called the "PARTIES".

0.3

Polyester complex, hereinafter called the "COMPLEX" (a plant including technological and also non-technological installations, general factory and other equipment).

0.4 WORKS:

all kinds of works and activities of the Contractor connected with the installation of the Complex, its commissioning, testing and handover to the Customer.

0.5 BUILDING SITE:

the precise place where the Contractor is to construct the Complex.

0.6 LIVING QUARTERS:

the place where the Contractor's personnel live close to the Building Site.

0.7 GENERAL CUSTOMER:

the USSR state organization empowered by the Contractor to carry out technical supervision and inspection of proper execution of the Works by the Contractor and which shall operate the Complex com­mercially.

0.8 MANAGEMENT:

one or more competent representatives of the Customer appointed to supervise technically and inspect proper construction of the Com­plex by the Contractor, to check the quality of the Works and conformity to the conditions of the Contract of the materials used.

0.9 ADMINISTRATION:

one or more competent representatives of the Customer appointed to supervise technically and inspect the progress of the Works on the Building Site for the purpose of technical and administrative management of all the Works on the Building Site within the frame­work of the Contract.

The Customer should notify the Contractor in writing of the names and powers of the people who are in the Management and the Ad­ministration.

0.10 Construction:

all Works executed by the Contractor in erecting the buildings and installations of the Complex including preparation and levelling of the Building Site, general constructional, finishing and sanitary works, heating and ventilation works and special works and also the building of roads, tunnels, crossings, services and organization of Site services and amenities.

0.11 Installation:

assembly, erection in working condition and mounting of the technological equipment, structures and individual plant items.

0.12 Preliminary trials:

functional trials and adjustment of individual installations, apparatuses, machines and also testing the serviceability of the

mechanical equipment, electrical instruments and automaic systems. 0.13 END OF INSTALLATION:

the date of the report signed by the Management and the Ad ministration certifying completion of Construction and Installation

the period of time during which testing is carried out of the individual plant items and the Complex as a whole. The Customer's personnel trained by the Contractor is to start the output of pro duction.

0.15 OPERATION UNDER GUARANTEE:

the period of time the start of which is the date of Report No I signed by the Contractor and the Customer on reaching the guarantee figures set in the Contract and on hand-over-acceptance of the Complex for Operation under Guarantee.

0.16 FINAL TRIALS:

tests of the Complex which are carried out in the period of Operation under Guarantee. At the end of the period of Operation under Guarantee the Contractor and the Customer shall sign Report No 2 on completion of the Final Trials.

0.17 GENERAL FORWARDING AGENT:

the association "Sovuzvneshtrans", a USSR foreign trade organ ization responsible for organizing and coordinating transport of the goods from the Contractor's manufacturing establishments to the Building Site in the USSR by all means of transport and against payment for transport services.

0.18 GOODS:

equipment, .machines, apparatuses, spare parts, materials, etc, supplied by the Contractor under the Contract.

0.19 CONTRACTOR DESIGN:

complete technical documentation (including all the drawings) prepared by the Contractor on the design and Construction of the individual installations and the Complex as a whole.
