Abt: delivery of refrigerators under Contract No. 24/5-11562

At present our company, Technical and Optical Equipment (Lon­don) Limited, are encountering great difficulty fulfilling our obligation! to supply English and Irish customers owing to delays in the delivery of goods by V/O "Technointorg" and lack of information regarding the new orders for refrigerators for this and next years.

You will remember that we were obliged to cancel orders for about 2,000 refrigerators at the end of last year and under this year'i Contract No. 24/5-11562 we have not received 500 refrigerators Snow Cap 150 DL yet.

Moreover, we have received no information regarding the shipment of goods under Contract No. 24/5-11561 which was signed in Cologne, and one of our biggest customers in Ireland has not received the refrigerators ordered yet. Kindly write to us about the measures taken to improve the situation.

Our order for delivery to Ireland of refrigerators of different typea next year could be doubled, to say the teast.

Please take into account the fact that Soviet refrigerators have been supplied to the English and Irish markets for more than fifteen years already, and we have traditional business relations with some firms. We would ask you to pay special attention to this point and let us know the schedule of delivery of refrigerators under the above contracts. Also, please make every endeavour to confirm this year's order for Ireland and the possibilities for next year, as we do not wish to lose our biggest customer.

Bear in mind that refrigerators are seasonal goods and we need to receive at least 50 per cent of our annual order in the first half of the year.

At the same time we are now having business discussions with some other companies and it seems that it may well be possible to expand our refrigerator business. To attain this end we need additional quantities and would like to know our possibilities prior to completing our talks.

Dear Sir,

We regret having to inform you that we have got a number of complaints from our Customers concerning the last lot of the goods shipped by m.v. Pirogov. Our Customers write that the actual weights of the goods in many boxes does not correspond to those indicated in the Bill of Lading. Though the short weight in each box is not big, but since it refers to many boxes the total short delivery is quite

considerable.

We shall telex to you in a few days detailed data of the total shortshipment. Meanwhile please let us know whether you prefer to ship the short-delivered goods by the first vessel available or our deducting their value from the amount of your Invoice. .

Kindly let us have your decision by telex. Yours faithfully,

TEXT 18 B. SUPERVISION OF ERECTION CLAUSE

Commissioning the equipment imported on time and achieving the productivity guaranteed is an ever so important problem. Electronics and automated control systems, the long-time delivery of equipment as a rule in a knocked-down condition make it necessary to have the assistance of skilled specialists, usually the Suppliers' workers who have expert knowledge of the design-and technological characteristics of the equipment for its erection and adjustment on the Buyers' premises. Since there is no unanimity in the understanding of the volume of services rendered in the supervision of erection clause, nor the uniformity in its wording, it is necessary to clearly state what is meant by supervision of erection in every contract for sophisticated equipment. There may be specific clauses in the general conditions of the sale of plant and machinery providing for the cervices of supervision of erection or separate agreements or addenda to the same end.

Anyway supervision of erection in our legal regulation is defined as "a special type of erection work which consists in engineering supervision and giving technical instructions and consultancy services as concerns the erection of equipment." Engineering supervision should

cover several stages in a definite, succession: —supervision of till installation and erection of equipment; —supervision of the starting up and commissioning of a project; —assistance in training engineers and technicians for the projec't constructed. That's why the clause stipulating these services should be worded clearly and completely.

7. Supervision of Erection Clause (an extract)

The Suppliers undertake:

7.1.to supervise the acceptance of the plant and machinery on the

construction site, i.e. its unpacking, testing and removing the

defects in the equipment if necessary. 7.2.to exercise the engineering supervision of the erection of the plant

and machinery, of its adjustment, testing and commissioning.

Note.

Engineering supervision means qualified technical and technological direction and instructions, recommendations and orders to the erecting personnel and consultancy services (written or oral) by the Suppliers' competent specialists concerning the above works.

7.3.to exercise control over the achievement of the productivity and other characteristics of the equipment specified in the Guarantee Clause.

7.4. to train the Buyers' specialists in the methods of erecting, adjusting and operating the plant and machinery as well as to transfer experience, know-how and specific working skills and habits.

The Buyers undertake:

  1. to carry out at their expense, using their labour and under their own management, the erection, adjustment, testing and commissioning of the plant and machinery bought as well ai see that it achieves the productivity and other characteristics guaranteed.

  1. to pay for the technical services rendered.

To improve the competitiveness of Soviet machinery and equipment, our exporting associations and firms should include in their commercial offers for delivery of machines a detailed list of engineering services during the supervision of erection.
