Important law-specific grammar & style notes

Within the context of law, i.e. in laws & by-laws, statutes & court rulings, agreements & contracts, orders & instructions, provisions, and the like, the verb shallis used as a text-specific feature. It is a conventional stylistic device for denotingpresenttensehappenings in legally-binding wording formulas to convey recommended, forbidden, preventive, etc., actions.

Eg.: The contract services shall be delivered with reasonable skill and care.- Оказание услуг по настоящему договору осуществляется на соответствующем профессиональном уровне.

This clause shall not apply where the aforesaid information properly enters the public domain. – Положения настоящей статьи не распространяются на случаи, когда указанная информация становится достоянием широкой общественности в установленном порядке.

Along with that, the verb shalllargely denotes strong modality with a noticeable emotional charge and needs to be rendered into Russian by verbs in thepresent tense forms.

Eg.: The client shall observe the Regulations. – Клиент обязуется соблюдать положения настоящей инструкции.

You shall inform us of any information or developments which may come to your notice and which might have a bearing on the services. – Вы должны сообщать нам любую информацию и уведомлять нас о любых событиях, которые могут стать вам известны и которые могут иметь отношение к оказываемым нами услугам.

There can be optional translation versions available for rendering shallinto Russian.

Eg.: The abovementioned amounts shall be unrestrictedly credited to the client's account. – Вышеуказанные средства клиента подлежат свободному зачислению / свободно зачисляются на его счет.

Abandoning lay style complexities and legal paperwork verbal conventions is getting increasingly trendy. A less rigidly academic, and more variation-driven language & style of law is currently used by banks and financial institutions across English-speaking countries, excluding such elements as shall and adverbials like hereon, thereinafter, whereby, etc. among others.

Note the most widely used patterns to express conditionality referring to the future, i.e. future happenings:

E.g.: Should you have questions with regard to this notice, don't hesitate to contact us. – В случае возникновения у вас вопросов по поводу данного уведомления, (Если у вас возникнут вопросы в отношении настоящего уведомления, …) незамедлительно обращайтесь к нам.

These patterns above coexist with traditional if-clause:

E.g.: If any of the provisions hereunder shall be judged by any law court or competent jurisdiction authority to be void or unenforceable, the remaining provisions shall continue in full force and effect. – Если судом или органом надлежащей юрисдикции признается недействительным или не имеющим исковой силы какое-либо из положений настоящего договора, остальные его положения будут целиком и полностью действительны.

There are also other ways to render conditionality:

(a) in the beginning of sentences, such as: In the event (of); In case (of) and Where – в том случае, когда (если).

(b) within the sentence, such as: subject to sth; provided.

(c) to introduce the negative conditionality both within the sentence and in its beginning, such as: unless; except as otherwise provided in these provisions – если иного не предусмотрено положениями (договора, соглашения, др.); если положения (договора, соглашения, др.) не предусматривают иного.

The following English adverbials derived from the adverbs here,thereandwhere, are frequently used in the contract law and throughout the law genre for reasoning and inferential judgement across the official style and the public administration services’ paperwork, thus indicating a legal context-bound style of writing or the text writer’s stylistic preferences.

HERE + after, by, in, etc. = hereafter, hereby, herein, hereof, herewith

In combination with certain adverbs and prepositions the usual meaning of hereas ‘this’, ‘this place’ or ‘this time’, etc., is extended to a broader meaning of ‘under consideration, in this instance or case’ pertaining to a document, contract, agreement, statute, law, etc. under analysis, examination, or study to shape out:hereafter, hereby, herein, hereof,herewith, etc.

E g.: The contract shall be deemed to have been effected from the date hereof. – Настоящий контракт вступает в действие с момента его подписания сторонами.

THERE+ after, by, in, etc = thereafter, thereby, therein, thereof, therewith

Being a word element, in fact a prefix, with the usual meaning of ‘that’, ‘that place’ or ‘that time’, etc., thereis combined in law texts under analysis, examination, or study, with certain adverbs and prepositions to shape out:thereafter, thereby, therein, thereof, therewith, etc.

E.g.: All our notions of right and wrong are built thereon. – Все наши

понятия о добре и зле базируются на этом основании.

A slight difference between them relates to the stylistic & usage preferences of the text writer, rather than the meaning proper, and is similar to the one in-between demonstrative pronouns thisandthat.

E.g.: All UK citizens are ruled by the laws (t)hereof. – Все граждане Великобритании подчиняются законам своей страны.
