The Parties undertake/undergo to only use the private/confidential information received as result of cooperation for the purposes/aim of this cooperation.
The prohibition in Clause 20.1 shall not apply if disclosure/announcement is necessary in order to comply with Applicable/Usable Law.
The Agent shall not reveal/discloseany informationdeemed/contemplatedas confidential for thepurpose/reasonof the present Contract to the third persons including its subagents, subcontractors or cooperation partners without the Principal’s writtenassent/consent.
The terms and conditions of the present section shall enter into power/force at the time of the signing of the present Agreement and shall remain/stay in force for the duration/length of the present Agreement, as well as for 3 (three) years following its ending/expiration or termination/cessation (including any possible renewal).

13. Confidentiality
13.1 Confidential information. The parties may have access … confidential information … the other party (“Confidential Information”). Each party shall take all reasonable measures to keep the Confidential Information and the terms … this Agreement … strict confidence and not to disclose it … any third party … the prior written consent … the disclosing party.
13.2 Restricted disclosure. Each party agrees that all Confidential Information received … the other party will be disclosed … the receiving party only … its employees or consultants, and that the receiving party will inform each … such persons … its obligations … this Agreement. The following is not considered Confidential Information (i) information rightfully in the receiving party’s possession or known … it prior … receipt … such information … the disclosing party; (ii) information which was rightfully disclosed … the receiving party … another person; (iii) information which is part … or enters the public domain without any improper action or inaction … the receiving party; and (iv) information which is independently developed … the receiving party. The receiving party bears the burden … proving that the information falls … any … the categories described … clauses (i) … (iv), above.

КОНФИДЕНЦИАЛЬНАЯ ИНФОРМАЦИИ
Агент настоящим признает и соглашается, что вся информация, относящаяся к настоящему Договору (в т.ч. содержание поручений Принципала, чертежи, макеты, расчеты, рекламные планы, бюджеты и любая иная маркетинговая, коммерческая, техническая и проч. информация, касающаяся Товарных Знаков и/или Продукции), равно как и информация о Принципале или его деятельности, либо деятельности любой другой компании группы “XXX”, не являющаяся общедоступной и ставшая известной Агенту в результате заключения или исполнения настоящего Договора, считается КОНФИДЕНЦИАЛЬНОЙ и не подлежащей раскрытию (разглашению, передаче, демонстрации и т.п.) третьим лицам без предварительного письменного согласия Принципала.
Конфиденциальной признается также информация о самом факте ведения переговоров между Принципалом и Агентом, а так же о факте существования и условиях настоящего Договора.
Любая информация, признаваемая конфиденциальной для целей настоящего Договора, не должна без письменного согласия Принципала передаваться (разглашаться) Агентом каким-либо третьим лицам, включая его субагентов, субподрядчиков (субисполнителей) или партнеров по кооперации. Для этих целей Агент обязан ограничить со своей стороны круг лиц, имеющих доступ к такой информации, теми лицами, которым такая информация необходима для надлежащего исполнения настоящего Договора.
Обязательства по неразглашению конфиденциальной информации, а равно ответственность за нарушение указанных обязательств, сохраняют свою силу в течение 2 (двух) лет после прекращения настоящего Договора.
Ограничения, предусмотренные п. 10.1. настоящего Договора, не применяются в случае предъявления Агенту уполномоченными в соответствии с действующим законодательством * органами власти или управления правомерного требования о раскрытия конфиденциальной информации о Принципале или настоящем Договоре.
