9. Guarantee

The quality of the delivered equipment is to correspond to the technical conditions установленным вthe contract or in theприложенииto it.

The Seller guarantees that:

1. the delivered equipment corresponds to the technical level and standards existing in the Seller’s country for the equipment in question at the moment of the fulfillment of the contract;

2. proper material and first-rate workmanship have been used in the manufacture of the goods;

3. the capacity of the delivered equipment and the quality of its operation are in all respects in conformity with the Technical Conditions of the contract;

4. the delivered equipment is complete в соответствии с the conditions of the contract that provides for its normal and uninterrupted operation;

5. the technical documents and drawings are complete, accurate and sufficient for the erection and operation of the equipment.

The гарантийный срокis … monthsсо дняputting the equipment into operation, but not more than … monthsсо дня погрузки of the last lot of the equipment. The date of the Report issued after the test of the equipment at the Buyer’s factory is considered to be the date of putting the equipment into operation.

Should the equipment prove to be defective during the период гарантии, or should it not correspond to the conditions of the contract, or not reach the ordered capacity, the Seller undertakes at the Buyer’s option either toустранитьthe defects or to replace the defective equipment by the new equipment to beпоставить без задержки с.и.ф.… . All theрасходы, понесенныеin this connection are to be borne by the Seller.

If the elimination of the defects is effected by the Buyer by mutual agreement between the сторонами, the Seller is toкомпенсироватьthe Buyer for all theрасходы, понесенныеby him in connection with this elimination.

If neither сторонаcan eliminate the defects, the Buyer has the right either to demand from the Seller a proportionateснижение ценthe equipment delivered or toрасторгнуть договорand in this case the Seller is toкомпенсироватьthe Buyer for theнанесенные убыткиby him.
