The Philips Company
Philips’ headquarters are still (1)_____ Eindhoven. It employs 256,400 people all (2)_____ the world, and has sales and service outlets in 150 countries. Правление акционерного общества ― исполнительный орган, осуществляющий текущее, оперативное управление делами и представляющий интересы общества в его отношениях с разными организациями. Подотчётен совету директоров (наблюдательному совету) и общему собранию акционеров. Полномочия правления по решению общего собрания могут быть переданы по договору привлечённым лицам.
Совет директоров акционерного общества ― избираемый акционерами руководящий исполнительный орган акционерного общества, корпорации, решающий принципиальные вопросы управления обществом в период между собраниями акционеров и создающий правление для оперативного управления делами общества.
В. Держатели акций имеют право посещать собрание акционеров и принимать решения по основным вопросам, таким, например, как замена членов совета директоров, а иногда и президента. Совет директоров принимает судьбоносные решения о работе компании. Совет собирается несколько раз в год для того, чтобы убедиться в том, что всё идёт гладко. Повседневные же решения принимают менеджеры внутри корпорации, хотя совет директоров вправе нанимать и увольнять руководителей высшего звена. Директоров избирают акционеры. Президент и/или исполнительный директор управляет фирмой и вдохновляет своих работников на достижение определённых целей. Главный исполнительный директор принимает на себя общую ответственность за работу фирмы и должен отвечать перед советом директоров и акционерами, если дела идут не так, как бы им хотелось.
