1. Read and translate the dialogue.
Discussing training programme
The detailed training programme is presented by the Seller
to the Buyer. After approval of the Buyer a date will be established
for the training to start
Sokolov: We have carefully studied your draft programme
and now we’d like to clarify some points.
Brown: We’ll be pleased to answer all your queries you may
have.
Sokolov: The first thing we have to agree on is the exact
number of trainees and their qualifications.
Brown: The team shouldn’t exceed the number stipulated in
the Contract that is 12 specialists. As agreed, the team will consist
of Process, Mechanical and Instrumental specialists (операторы
контрольно-измерительных приборов).
Sokolov: Would you object if we included a chemical engineer in our team?
Brown: We can’t see any reason for refusal. It is up to you
to train any specialists you like. But I must repeat that the total
number of trainees shouldn’t be more than 12 as it is stipulated in
the Contract.
Sokolov: Will the whole team participate in the general part
of the programme?
Brown: Certainly. Then the training programme will be
suited to the particular technology in which individual members
of the team are qualified. So, it will be difficult for your chemical
engineer to understand some details of the programme.
Sokolov: What exactly do you mean?
Brown: I mean that each group will have its separate pro-
gramme. We have also paid special attention to all procedures

connected with start-up, emergency shut-down (аварийная остановка) and trouble-free operation.
Sokolov: That’s fine. It suits us. May I ask you to provide the
group with an interpreter?
Brown: But it is stipulated in the contract that the interpreter
will come together with your group.
Sokolov: Yes, you are quite right, but he is not able to come
because he is in hospital now.
Brown: In hospital? What has happened to him?
Sokolov: Traffic jams, car crash. He is not faulty.
Brown: I am sorry for both him and you, as it is difficult to
find a good technical interpreter. We’ll try to help you.
Sokolov: And the last matter. Will you reserve some time for
the discussion of various queries?
Brown: Naturally. At the end of each part of the programme
we’ll have one day for discussion and questions on training. Besides, every morning there’ll be a half an hour session to discuss
questions which may arise from the previous day’s work.
Sokolov: As far as I can see the programme is very extensive.
Brown: Then we’ll fix the date of your specialists’ arrival, 8,
October – suitable?
Sokolov: It is good. Thank you.

Discussing the guarantee period
Mr. Borisov and Mr Parks are at his office, discussing some
technical matters
Borisov: Good morning, Mr Parks.
Parks: Good morning, Mr Borisov. Glad to see you. What
terrible weather we are having today! It is windy and raining.
Borisov: Yes, it has been raining for two days now though
the radio didn’t inform about today’s rain.
Parks: I hope that it will stop soon.
Borisov: Perhaps, it will. Mr Parks, the matter I’d like to
bring up is the guarantee period. I know it is 12 months from the
date of putting the pumps into operation, but not more than 18
months from the delivery date.
Parks: That’s right.
Borisov: Well, I find it rather short. We’d like it to be ex-
tended by two or three months respectively, as the usual guarantee period of this type of equipment is longer.
Parks: Now, look here, Mr.Borisov, Model LS 8 is of a new
design and only a small number of units have been manufactured
so far. Although we have good reports about their performance we
can’t formally guarantee their reliability for a longer period.
Borisov: I see, but, Mr Parks, I believe the contract will specify that if any defects are found during the guarantee period you
are to correct them promptly and at your expense.
Parks: Yes, this is our usual practice, but, of course, we do
this only if we are responsible for the defects, not if they appear
through the fault of your own.
Borisov: This seems quite reasonable. Let’s consider another
case. Let’s suppose we would like to have some faulty parts to be replaced, on what terms will you deliver the replacements and when?

Parks: We’ll try to supply them immediately at the price stipulated in the Contract.
Borisov: Quite right.
Parks: By the way, if you want special service of our engi-
neer after the guarantee period, we can always do that.
Borisov: Shall we pay for such visits?
Parks: Yes, of course. You should pay the cost of each job he
will do.
Borisov: Thank you. I will look into the matter, but I think it
will be more profitable for us to train our engineers in your country. Is it possible?
Parks: Yes, it is. I can recommend you a very good college.
The teachers are very good and many of them know Russian.
Borisov: It’s very good. Could we meet on Thursday, say, at
11 o’clock sharp?
Parks: Sorry, but I’ll be busy at this time. Let’s meet at 12
o’clock, if you don’t mind. I have already had an appointment.
I don’t want to break it or to postpone.
Borisov: All right. See you on Thursday.
Parks: Good-bye, Mr. Borisov.

Storage troubles
Mr Petrov came to see Mr Smith to his office to discuss the
problem of storage
Smith: Good morning Mr. Petrov. I am glad to see you.
Petrov: Good morning, Mr Smith. So, am I. The weather is
good today. It is warm and sunny.
Smith: I like such weather. We seldom have it here in London. What’s wrong with a cup of tea? My tea is very tasty.
Petrov: No, thank you. I’d like to discuss some problems
with you. They trouble me a lot, to tell the truth.
Smith: What are your problems? I’ll do my best to help you.
Petrov: Storage of the equipment delivered by you under
Contract 124.
Smith: I am at your service.
Petrov: The problem is that some units of the equipment are
stored out-of-doors, which runs counter to the recommendations
of the firm.
Smith: I am aware of that, but I’d like to remind you that we
met your request with regard to delivery ahead of schedule. We
warned you that we did not have the appropriate storage facilities.
We are only building the warehouses.
Petrov: You are quire right and we appreciate your ability to
deliver the equipment ahead of schedule. You should understand
that if we had purchased it from our suppliers later we would
have had to pay a higher price. That’s why we asked about the
early delivery. I have come here not to argue but to find a possible
way out of the situation.
Smith: I understand it, it is reasonable and I myself would
act in the same way. The only thing I can do for you in these circumstances is to provide your purchase with special tents. They

will protect your equipment from rain. Taking into consideration
our long-term business relations we are ready to do it at our expense.
Petrov: That’s a very good idea, but I don’t want to darken
our cooperation by such presents. We’ll pay ourselves. Before you
start delivering these tents, please, let us know what items of the
equipment are the most liable to damage so that we’ll try to do
something ourselves.
Smith: Well, we’ll do it. I think I am safe in saying that only
our joint efforts can ensure success of the erection program. What
are you doing in the evening?
Petrov: Nothing in particular. We are going to see the match
on TV. Do you know which teams play?
Smith: No, I don’t. But I ask my son to make you a call. He is a
great football fan. You will get the information you need from him!
Petrov: Then, thank you very much. I’ll wait for his call.

1. Read and translate the dialogue.
Selling the goods through the agents
Canadian agency firm entered into contact with Rossexport
to discuss the lines of their future business.
Sokolov: Mr Vane, we know that your firm has considerable
success in selling watches and we’re prepared to discuss with you
the possibility of signing an agency agreement.
Vane: Thank you, Mr Sokolov. I am very glad to hear it. The
point I want to clarify first concerns the period of validity of the
agreement. We would also like to be granted exclusive rights to
sell your watches in the provinces of Canada.
Sokolov: Well, but we prefer a short-time agreement of perhaps one year to start with. As to the second point we do grant exclusive rights to our agents but only after 2 or 3 years of successful sales.
Vane: The fact is that in the market of our country there is a
strong competition from the US, Swiss and Japanese firms. The
exclusive rights would enable us to compete with these wellestablished firms and give us protection.
Sokolov: I understand your position, Mr Vane, and to support you I think we can agree to grant you exclusivity for a year.
We’d obviously like to see how successfully you develop sales before committing ourselves to a longer-term agreement.
Vane: You see, Mr Sokolov, we are planning to invest considerably in advertising, distribution and technical service for your
watches.
Sokolov: Taking all this into account we can include the following words: “The agreement will be renewed automatically unless either party notifies the other of its intention to terminate the
agreement by giving the other party a three month’s notice prior to
the determination date”.

Vane: I can do nothing but state that this wording seems
quite reasonable. But as to validity, from our point of view, it
should be longer.
Sokolov: I understand you, all right. We can compromise on
3 years provided the sales targets are reached. If they aren’t, then
we naturally want the option of terminating our agreement. In this
case we’ll have to place our business elsewhere.
Vane: That sounds reasonable. Thank you, Mr Sokolov, I
appreciate the businesslike atmosphere of our talks and can assure
you that we’ll do our best to carry out our commitments on the
agreement.
Sokolov: I hope so. Good-bye.
Vane: Good-bye. I was glad to make your acquaintance.
Sokolov: So was I.

Complaint
When on business in London, Sedov, a representative of
Rossimport , made an appointment with the manager of the firm
Sedov: Good afternoon, Mr Black.
Black: Good afternoon. What bad weather it is today! It is
raining all the day long. Does it often rain in Moscow?
Sedov: It depends on the season.
Black: What’s the reason for your visit? I should be glad to
help you.
Sedov: I have asked for an appointment with you as we are
dissatisfied with the way your goods are delivered. We’ve written
to you several times detailing our complaints. You are sorry, but
the situation remains the same. This doesn’t suit us.
Black: Sorry, I haven’t got your file here, so, please, remind
me of your complaint. My business policy is: “A Customer is never faulty”.
Sedov: The main complaint is that we never get the goods
on time.
Black: Have you been informed about the reasons?
Sedov: Yes, we have, and the reasons are quite different.
I could write a novel so many I have heard. I should say the delays
are short, but frequent.
Black: I know some of them. One of the problems is that port
of London is very busy and the port workers were going to strike.
We can assure you we are doing our best to keep to the delivery
schedule, but it is useless to fight against force majeure.
Sedov: I see. But I have to remind you that we have the right
to impose a penalty if the delay exceeds a week, Article 5 of the
Contract.
