………, Kosice, Slovakia, hereinafter referred to as “PRINCIPAL”, represented by Commercial Director ……… acting on the basis of the legislation, on the one hand, and ........., hereinafter referred to as «EXECUTOR», represented by the official agent of ………, acting on the basis of the General Power of Attorney and the Charter, on the other hand, have concluded the present Contract as follows:

1. Subject of the contract

1.1. The Principal charges, and the Executor takes up the following obligations:

а) to find the Seller of Metal Products hereinafter referred to as the Goods meeting the requirements of the Principal;

b) to carry out work on research of the market of the Goods and structure of formation of the price on the above-stated Goods;

c) to determine the opportunity of purchase of the Goods in the volume not less than 10.000 tons per month;

d) to carry out preliminary talks with the Seller on purchase of the Goods and to organize the signing of the Contract of sale and purchase.

1.2. For the executed work:

а) the Principal (Payer) undertakes to pay to the Executor the sum of commercial compensation at the rate of 2,0 US dollars for each metric ton, which will be delivered to the Principal according to the Contract of sale and purchase;

b) the compensation is paid by the Principal simultaneously with payment of each delivery of Goods within three bank days according to the dictation on the payment of the main Contract at the rate of 2,0 US dollars for each metric ton.

2. Duties of the parties

2.1. The Principal gives the Executor under the first requirement all the information necessary for performance of the present Contract, including the “Irrevocable Corporate Order”, the proof of the Principal’s solvency on the ordered Goods and other necessary documents required by the Seller of the Goods.

2.2. The Executor on behalf of and according to the interests of the Principal will carry out all the necessary work with the purpose of productive realization of business, in particular, checks opportunities and reliability of the business partners, coordinates the prices with the partners, as well as prepares draft Contracts.

2.3. For the executed work the Principal undertakes to pay to the Executor the sum of commercial compensation from all sales of the Goods, according to Item 1.2.

2.4. In case of ungrounded refuse of the Principle to sign the Agreement with the Seller the Principle is to pay in the favour of the Agent the amount of 10% of the total sum of compensation as by the present Agreement.

2.5. The Principal is obliged not to avoid the Executor after the latter produces him the direct Seller according the present Contract.

2.6. In case of changing a bank the Contract of Assignment should be reissured unconditionally by the Principal in favour of the Executor to the new bank.

2.7. During the functioning of the Contract the Executor has the right for the commission recompense for the any other kinds of the goods ordered from the Seller.
