Why Canadian companies need to be able to transfer their interests in oil and gas licenses
Some companies which acquire mineral interests proceed on their own with exploration and development. But others sell, or otherwise dispose of, all or part of their interests in order to spread risk, combine or gain access to expertise, or achieve other corporate objectives. As well, the fact that mineral interests are viewed as assets means that they can be used as collateral for financing, that is, in order to raise revenue. For example, a company that acquires mineral rights may need to borrow money in order to undertake exploration and development. In a wide variety of ways, companies may use a license to raise the money needed to make expenditures that are required before a given mineral property begins to generate a positive cash flow.
All Canadian rights issuance and management systems recognize that the transfer of complete or partial ownership of mineral interests is a standard type of commercial transaction in the oil and gas industry and that these transfers meet important needs of the industry in undertaking exploration and development. In Alberta, for example, the matter of transfers of interests in licenses is addressed by the provincial Mines and Minerals Act: the statute clearly states that a company which holds an interest may «transfer or dispose» of it (Section 27(b)). It is to be noted that there are no significant restrictions on the transfer of either an entire or partial interest in a license. In fact, the only, very minor, restriction is found in the instructions which accompany the standard form used to notify the Department of Resource Development that a transfer has occurred which indicate that fractions of interests must be described «in decimals to a maximum of seven places, e. g. 1.1234567 %».

Самую большую сложность представляет собой перевод таких терминов, как jurisdiction, license, lease, interest, right (rights). Все эти термины многозначны, и не всегда все их значения зафиксированы в словарях, даже самых современных. И все они являются т. н. «ложными друзьями переводчика», ибо кажутся знакомыми и сразу возникает соблазн использовать в переводе их привычное (первое) значение, поскольку в русском языке эти слова являются либо заимствованиями, либо омофонами. Но использование «ложных друзей переводчика» в большинстве случаев ведет к неточности, а иногда и к искажению смысла. Рассмотрим каждое слово отдельно.
Интересно, что термин jurisdiction в текстах урока имеет несколько значений: юрисдикция (в словосочетании fall under the jurisdiction); государство, страна (когда речь идет о Канаде в целом) и провинция (особенно тогда, когда он употребляется во множественном числе). Таким образом, в зависимости от реалий страны, о которой идет речь, он может означать любую административно-территориальную единицу – штат, провинцию, область и т. д. Если говорить о России, то термин jurisdictions вполне может являться эквивалентом словосочетания

Government’s Role in the Transfer
Of Licences
The term «transfer» is common to the oil and gas industry, and is a concept that industry frequently avails of during all stages of its exploration and development operations. It is also a term and concept familiar to government and the legislation implemented to govern oil and gas exploration and development.
Legislative framework – fewfoundland Offshore Area
Following the Geneva Convention on the Law of the Sea in 1958, coastal nations began to recognize and exercise sovereign rights to their adjacent continental margins. The Canadian government, recognizing the vast resource potential underlying its coastal shores, was quick to react, promulgating legislation as early as 1961 to encourage evaluation of the oil and gas potential in this new frontier area. Although the question of ownership to resources under the continental margin was being recognized in the international community, the Canadian government was facing a challenge from provincial governments respecting ownership. Due to its unique history and entry into the Canadian federation in 1949, this challenge was particularly real for those areas lying seaward of Newfoundland and Labrador. The Government of Newfoundland and Labrador also claimed legal ownership and enacted its own legislation to administer oil and gas operations in this area. This situation prevailed for some years until the question of legal ownership was presented to the Supreme Court of Newfoundland and later to the Supreme Court

of Canada for resolution. Both courts ruled that the area in question fell under the jurisdiction of the Government of Canada.
Prompted by the court decision that clarified the legal question, and a desire to reach a compromise on the orderly development of offshore oil and gas resources, both governments reached a political agreement for the administration of petroleum resources in the offshore area, thus setting aside the question of ownership. This agreement was given the force and protection of law by the enactment of parallel legislation to govern all petroleum operations in the offshore area. In addition, the Acts established a joint Board responsible, on behalf of the Government of Newfoundland and Labrador and the Government of Canada, for the joint management of petroleum resources in the offshore area. The Board’s legislative responsibilities include the issuance and administration of petroleum exploration and development rights; administration of statutory requirements regulating offshore exploration, development and production; the approval of Canada-Newfoundland benefits and development plans; and, the mandate to administer the registration of interests and instruments in petroleum in relation to the offshore area.
It is the Board, therefore, that administers oil and gas activities in the offshore area on behalf of both governments, including the registration of interests and instruments.
OFFSHORE AREA — RIGHTS ISSUAfCE PROCESS
As with most jurisdictions, it is the issuance of a right which activates certain legislative provisions. In the offshore area, it is the issuance of a license, which, among other things, activates the registration provisions under the Acts. The rights issuance system in the Newfoundland and Labrador offshore area is currently structured in the following manner:
Annual Cycle — The annual cycle for the disposition of petroleum rights includes the three documents of title applicable to the offshore area, namely, the exploration license, significant discovery license, and the production license. Normally an interest owner begins with an exploration license, moving to a significant discovery license and ultimately to a production license.

Call for Nominations — The Board issues an official call for nominations each Fall, normally opening in early October and closing in late December. This call is a preliminary step to a competitive call for bids. It provides interested parties with an opportunity to nominate lands of interest to be included in a subsequent call for bids. Attached to the call is a generic description of the terms and conditions that may apply to a subsequent call for bids. The Board is not bound to proceed with a call for bids in respect of any lands nominated, nor is a nominee obligated to bid on lands nominated and included in a subsequent call for bids. The Board also has the right to nominate lands on its own initiative for inclusion in a call for bids. The identity of the nominee and information concerning the lands nominated remain confidential.
Plan for Interests — As a requirement of the Acts, the Board is required to submit for approval to the provincial and federal Ministers a plan outlining the anticipated decisions of the Board during that year respecting calls for bids and the terms and conditions of any interest to be issued as a result of such call. Lands that are nominated are considered for inclusion in the plan for interests.
Call for Bids — Upon receipt of Ministerial approval, the Board will initiate a call for bids, normally commencing in early March and closing in late September. A call for bids will specify the form and manner in which a bid is to be submitted, any terms and conditions that a bid must satisfy to be considered by the Board, and other terms and conditions subject to which an interest is to be issued.
Exploration License — Upon conclusion of a call for bids and selection of the winning bids, the Board shall issue an exploration license to the successful bidders. An exploration license confers, among other things, the right to explore for, and the exclusive right to develop and produce petroleum to those portions of the offshore area to which the exploration license applies.
Significant Discovery License — At the expiration of the term of an exploration license, the portions of the offshore area not subject to a significant discovery or production license become Crown reserve. If a drilling program results in a significant discovery an interest owner is entitled to a significant discovery license. A significant discovery license confers the same rights as that of an explora-
