The Seller has sold and the Buyer has bought the goods CIF-St. Petersburg in accordance with Specification No.1 attached hereto and being an integral part hereof. All transport, insurance, and other expenses which may arise during transportation of the goods hereunder will be paid by the Buyer against original documents as specified therein and attached to Seller's Invoice to confirm any such losses, if any.

(d)

Company appoints Distributor as the exclusive distributor for the sale of Products within the Territory, and Distributor accepts such appointment subject to the terms and conditions set forth herein. Company shall make no sales of the Products to any purchaser (except the Distributor itself) for delivery from Company to a location within the Territory. This Agreement shall not impose any restriction on sales by Company to purchasers outside the Territory.

This Agreement gives Distributor the right to purchase Products from Company and its authorized product licensees, the list of which is to be provided to Distributor by Company, and to resell them in the Territory pursuant to the terms and conditions hereof.

(e)

Nothing stated in this Agreement shall be construed as constituting a partnership agreement between Company and Distributor or as creating between the parties' relationships of employer and employee, master and servant, principal and agent or of any other kind except as and if explicitly provided by this Agreement.

Distributor represents and warrants that the execution, delivery, and performance of this Agreement by Distributor: (a) will not violate any provision of the articles, charter, or bylaws of Distributor or of any law, statute, rule, regulation, or order of any court or government entity applicable to Distributor; and (b) does not require the consent of any third party. Distributor represents that, when duly executed by the parties, this Agreement will constitute a valid and binding obligation of Distributor, enforceable against Distributor in accordance with its terms.
