(a)

Any and all disputes and disagreements which may arise out of or in connection with the Contract provisions are to be settled, the ordinary courts jurisdiction being excluded, by the Arbitration Court under the Chamber of Commerce and Industry (country to be specified) in accordance with the said Arbitration Court Regulations.

(b)

Any and all disputes and disagreements which may arise out of or in connection with the Contract provisions shall be settled without recourse to the general courts-of-law, but rather following arbitration order by the Foreign Trade Arbitration Commission under the Russian Federation Chamber of Commerce and Industry, Moscow, pursuant to the above Commission's rules of procedure. This Arbitration awards shall be considered final and binding for either party concerned.

The Parties shall make every effort to amicably settle any possible disputes or disagreements which may arise out of or in relation to the Contract hereof. Should any such amicable settlement fail to resolve such disputes or disagreements, the said shall be resort, the ordinary courts jurisdiction excluded, to arbitration.

The arbitration shall be proceeded as follows:

•The party intending to make recourse to arbitration shall in writing inform the other Party in respect hereof.

•The arbitration shall be carried out in the Arbitration Court under the Chamber of Commerce and Industry, Moscow, pursuant to the rules of procedure of the pecuniary law acting in the Russian

Federation [в соответствии с процессуальными нормами, предусмотренными российским материальным правом].

The Arbitration Court awards shall be final and binding for either Party hereto.

The Parties shall attempt at settling any disagreements and disputes which may arise out of or in connection with this Contract through discussions and negotiations.

In the event that any such dispute or disagreement might fail to be settled through discussions or negotiations, it shall be finally settled by the Inter-

national Commerce Arbitration Court under the Russian Federation Chamber of Commerce and Industry.

Сторона, которая намерена передать дело в арбитраж, должна письменно информировать об этом другую сторону. Арбитраж будет проводиться в Арбитражном суде при Торгово-промышленной палате в Москве в соответствии с процессуальными нормами, предусмотренными российским материальным правом.

Решения Арбитражного суда являются окончательными и обязательными для обеих Сторон.

При невозможности разрешить спор или разногласие путем переговоров или обсуждений дело будет передано для разрешения в Международный коммерческий арбитражный суд при Торговопромышленной Палате Российской Федерации.

Insurance

В случае, если Покупателю и/или его клиентам будут предъявлены третьими лицами какие-либо претензии и/или иски, основанные на нарушении их прав промышленной или иной интеллектуальной собственности, Продавец обязан урегулировать такие претензии и/или иски за свой счет, а также возместить все убытки, включая расходы, понесенные Покупателем и/или его клиентами.

Покупатель должен в разумный срок после получения им информации о предъявляемых к нему и/или его клиентам претензиях и/или исках подобного рода известить о них Продавца.

Получение лицензии на импорт возлагается на Покупателя. В слу- чае неполучения лицензии на импорт в течение 3 (трех) месяцев со дня подписания Контракта Продавец имеет право аннулировать настоящий Контракт без каких-либо обязательств с его стороны.

О получении лицензии на импорт Покупатель обязан немедленно известить Продавца.

Ни одна из Сторон не имеет права передать какому-либо третьему лицу права и обязанности по настоящему Контракту без письменного согласия на то другой Стороны.
