VOCABULARY RELATED TO THE TRADEMARK RIGHTS CLAUSE

Task 74. Translate the sample contract clauses below into Russian:

Distributor acknowledges that the trademarks and service marks used by ABC (the «Trademarks») are the sole property of ABC, parent corporation of ABC, which has given to ABC the right to sublicense the marks as provided herein. The provisions pertaining to use of the Trademarks by Distributor are set forth in a separate trademark license agreement. Distributor shall not use the Trademarks except in the normal course of advertising or selling the Products and except in a manner approved by ABC. All such use shall inure to the benefit of ABC and Distributor shall have no ownership interest in the Trademarks.

Distributor shall not register or attempt to register any Trademark or designation confusingly similar thereto in its own name or in the name of other person in or outside of the Territory or in any way claim or represent that Distributor has any ownership interest in any Trademark.

Distributor shall not, without a prior written consent of ABC, remove or alter any Trademarks, notices, patent numbers, serial numbers, labels, tags or other identifying marks, symbols or legends affixed to any Products or containers or packages containing Products.

ABC shall have the sole right to institute any proceedings against such third party infringes and Distributor shall cooperate fully with ABC in any action taken by ABC against such third parties, provided that all expenses of such action shall be borne by ABC and all damages which may be awarded or agreed upon in settlement of such action shall accrue to ABC.

Distributor shall not use the Trademarks on or in connection with the manufacture, sale or advertising of any products not supplied to Distributor by ABC.

Task 78. Translate the sample contract clauses below into Russian:

The Seller shall give a warranty herewith on the devices' operational safety within 12 (twelve) months upon their acceptance. Should within the warranty period, provided all the aforesaid conditions observed, the devices may turn faulty or inadequate in terms of their compliance with the specifications hereof, the Buyer shall be entitled to a warranty claim for the said devices replacement.

Trouble-shooting [устранение дефектов] and replacement of the devices identified as defective shall be exercized at the Seller's own expense. In case of trouble-shooting or warranty return with the view of the devices replacement, the devices' warrantable life shall be extended for the period equalling duration of their inoperability caused by spotted in-service malfunctioning [вследствие обнаруженного эксплуатационного дефекта].
