Arbitration is a legal technique for resolving disputes by referring them to a third party for a binding decision, or "award." The arbitrator may be a single person or an arbitration board usually of three members. Arbitration is most commonly resorted to for the resolution of commercial disputes and must be distinguished from mediation and conciliation, which are common in the settlement of labor disputes between management and labor unions.

Commercial Arbitration

Commercial arbitration is a means of settling disputes by referring them to a third party, an arbitrator, selected by the parties for a decision based on the evidence and arguments presented to the arbitration tribunal. The parties agree in advance that the decision will be accepted as final and binding upon them.

Procedure

The arbitration process is governed by the rules to which the parties referred in their agreement; otherwise, the procedure will be determined by the arbitrators. The arbitration proceedings must be conducted so as to afford the parties a fair hearing on the basis of equality.

Under the law and arbitration practice of most countries, the award is valid and binding upon the parties when rendered by a majority of the arbitrators, unless the parties request a unanimous decision of the arbitrators, which they seldom do.

A much-disputed question concerns the law to be applied by the arbitrators. Generally, the award must be based upon the law as determined by the parties in their agreement. This failing, the arbitrator must apply the law he considers proper in accordance with the rules of conflict of laws. In both cases, the arbitrator will have to take account of the terms of the contract and the usage of the specific trade.

One particularly difficult problem of international commercial arbitration is the enforcement of awards in a country other than the one in which they were rendered. Statutory municipal laws do not usually contain provisions for the enforcement of foreign awards, and the parties are faced with the uncertainty about the law and practice of enforcement procedure in a country other than their own.

5. Rise and Fall Clause

Invoiced prices shall be those ruling at the date of despatch from our works. We reserve the right to make adjustments to all quoted prices to cover variations in the cost of transport, materials, labour and overhead charges between the date of quotation and the date of invoicing.

6. Liability for Performance

Whilst the figures given for performance are based on our experience, and are such as we expect to obtain on test, no warranty is expressed or Implied for the performance or efficiency of the apparatus covered in this acknowledgment.

Should materials of our manufacture prove faulty during the initial six months of service, they will be replaced free of charge, and our liability shall be limited to the replacement of such faulty parts of which we shall have been notified within the said period of six months and we are not to be responsible for damages direct or consequential arising from any cause whatever, nor for costs incurred in wages for dismantling or for fitting replacement parts.

7. Customs of Trade

All warranties and conditions implied by law or trade usage are excluded unless specifically expressed.

8. Arbitration

Any dispute or difference, which shall at any time arise between purchaser and ourselves in any way relating to a contract shall be referred to the arbitration of a single person mutually agreed upon, or, failing such agreement, to some single person appointed by the President for the time being of the Iron and Steel Institute, whose decision shall be final and binding.

9. Legal Construction

All contracts shall be construed and operate as English contracts, in conformity with English law, and subject only to the jurisdiction of English courts.
