ре в направлении расширения автономии воли сторон. Необходимо предусмотреть возможность выбора сторонами права любой страны, а не только права страны суда. Эта позиция Совета нашла отражение в предлагаемой как новелла ст. 1223.1, согласно которой после совер­шения действия или наступления иного обстоятельства, повлекших причинение вреда или неосновательное обогащение, стороны могут выбрать по соглашению между собой право, подлежащее применению к обязательству вследствие причинения вреда или неосновательного обогащения. Выбранное сторонами право применяется без ущерба для прав третьих лиц. Кроме этого Совет предложил разрешить вопрос о со­отношении договорного и деликтного статутов в ситуации причинения вреда, тесно связанного с договорными отношениями между сторо­нами. Согласно предлагаемым нововведениям если из совокупности обстоятельств дела вытекает, что обязательство вследствие причинения вреда тесно связано с договором между потерпевшим и причинителем вреда, заключенным при осуществлении этими сторонами предприни­мательской деятельности, к этому обязательству применяется право, подлежащее применению к такому договору (п. 3. ст. 1219).
В заключение хотелось бы отметить, что предлагаемые Советом изменения в коллизионном праве России носят последовательный и весьма прогрессивный характер. Тем не менее, на мой взгляд, сле­дующим шагом на пути развития отечественного коллизионного ре­гулирования хотелось бы видеть разработку автономного кодифици­рующего акта в области МЧП – Закона о МЧП или, что еще лучше, Кодекса МЧП. Все предпосылки для успешного результата в настоящее время налицо. К их числу можно отнести как значительные достиже­ния отечественной науки МЧП, так и существующее в других странах законодательство по МЧП, примером которого могут служить:

Кодекс международного частного права Болгарии 2005 г.
Кодекс международного частного права Турции 2007 г.

The basis of Private International Law (hereinafter – PIL) of any state contains a number of conflicting rules which is called conflict law. The Rus­sian conflict law is dispersed in separate regulatory acts, namely, five codes:
1. The Civil Code of the Russian Federation, (the Third part) 2001,
Section VI «Private International Law» (hereinafter – CCRF).
2. The Family Code of the Russian Federation 1995, Section VII «Application of the family legislation to family relations involving foreign persons and persons without citizenship».
3. The Code of Trade and Navigation of the Russian Federation 1999, Chapter XXVI «Applicable law».
4. The Arbitrazh Procedural Code of the Russian Federation 2002, Chapter 31 «Proceedings in cases of the recognition and enforcement of foreign judgments and foreign arbitral awards»; Section V «Proceedings in cases involving foreign persons».
5. The Civil Procedural Code of the Russian Federation 2002, Section V «Proceedings in cases involving foreign persons».
The main part of rules of the Russian conflict law is found in Section VI of the Third part of CCRF. Within the framework of civil legislation reform in Russia the Council on codification and improvement of civil legislation under the President of the Russian Federation (hereinafter – Council) has drafted amendments to existing conflict regulation of private legal relations complicated by a foreign element. These changes imply the following:

The concept of overriding mandatory rules set out in article 1192 of CCRF «Application of mandatory rules» has been redefined. It is obvious that the existing notion leads to confusion of two absolutely different categories – mandatory rules and overriding mandatory rules. Although the heading of the given article includes the term «mandatory rules», in reality, it concerns a special category of mandatory rules the application of which does not depend on the law regulating the legal relationship complicated by a foreign element. In the proposed amendments the term «rule of direct effect» is used which makes it easier to determine the place and role of overriding mandatory rules in Russian system of legal rules.
In article 1193 containing the public policy clause, refinement has been made with a view of eliminating the practice of unjustified reference to this protective clause, as well as defining more precisely what principles can be considered as the Russian public policy in the context of regulation of the relations complicated by a foreign element. Some foreign jurisdictions draw a distinction between public policy, applied to purely internal relations, and the public policy, applied to the regulation of private international relations (so-called «international public policy» of respective state) in legislative and judicial terms. The Council’s proposal to revise the text of article 1193 in order to recommend courts to take into account specific features of application of the public policy clause with regard to the relations regulated by PIL seems necessary and expedient.
It is proposed to expand legal person’s statute to include the founders’ and members’ liability for its obligations. The unilateral conflict-of-law rule is introduced according to which a legal person (a company) registered abroad and conducting business in Russia is bound by Russian law or the company’s internal rules at creditor’s option in matters of liability for company’s obligations of its founders, members, other executive officers empowered to control and determine the company’s operation (item 4, article 1202).
To make conflict regulation unambiguous and clear, legal rules applicable to property rights should be amended by the scope of their application similarly to company’s statute where the areas of its application are enumerated (par.2, art, 1202) as well as the laws applicable to contractual and non­contractual obligations: articles 1215 and 1220 respectively.
A new rule is proposed which provides that exclusive rights to intellectual activity results and means of individualization of legal entities, goods, works, services and enterprises are determined by the law of the country where protection of a respective exclusive right is sought (lex loci protectionis) (par. 1,

art. 1207.1). Moreover, there is an intellectual law that provides for the following:
– protected intellectual activity results and means of individualization;
– types of exclusive rights;
– content of exclusive rights;
– exclusive rights restrictions;
– scope of exclusive rights;
– enjoyment of exclusive rights, including acceptable means of exercise of exclusive rights;
– non-contractual methods of the exclusive rights protection including licensee’s possible use of these methods (par. 2, art. 1207.1).
It is proposed to repeal the unilateral conflict rule concerning the mandatory written form of the external economic transaction, where at least one of the parties is a Russian legal entity. According to the Council’s draft the form of transaction is regulated by the country’s law which is applicable to the transaction. However, according to «favor negotii» principle, there is introduced a cumulative conflict rule which provides that to be valid, a transaction is to comply with the law of the country where it is made. A transaction made abroad, and involving a legal entity as a party governed by Russian law cannot be invalidated because of non-compliance with the form requirements as long as it is made in conformity with Russian law (par. 1, art. 1209). Thus, the Council has had every reason to reject specific legal consequences occurring as a result of non-compliance with the written form requirement in external economic transactions involving Russian legal entities or individuals, to find them unjustifiable in modern circumstances and worsening the parties’ position as compared with that of the parties to domestic transactions.
The conflict rule contained in par. 2, art. 1211 determines the law applicable to the contract when there is no agreement between the parties about the choice of law. It provides that, according to general practice, contractual relations are governed by the law of the country where a party performing substantial part of the contract resides or carries out its business activity (lex connectionis fermitatis). The present rule is flexible since court can decide to apply the law of the other state if this follows from the contractual terms and essence or from the facts of the case. To secure certainty of the rule (par. 2, art. 1211) and predictability of the judicial outcome the amendment should be made to provide that the application of the general conflict rule can be rejected in the exclusive situation when the contract shows closer link to the law of the other state.

According to the Council, par. 3 art. 1211providing for the party performing substantial part in major types of contracts should be amended by the rule that the party performing substantial part of service contract is the «executor» and the party performing substantial part of the contract on exclusive right alienation – «legal owner» (par. 3, 4, article 1211).
According to the Council the range of non-contractual liabilities subject to conflict regulation should be extended to include conflict rules concerning actions restricting free competition, and the so-called pre-contractual liability (culpa in contrahendo). Thus, the domestic law of the country where the internal market is or can be affected by restrictive competitive actions applies to liability arising from such actions unless otherwise provided by the law or the content of obligation in question (par. 2, art. 1222). Liabilities arising from unfair negotiations on making a contract are subject to regulation by the law applicable to the contract and if the contract was not made – by the law applicable to the contract as if it had been made (par. 2, art. 1222). Regretfully, unauthorized agency as a ground of non-contractual liability has not been included in the Council’s draft.
The Council proposes an absolute novelty to the Russian conflict law which is termination of obligations by set-off. So far there have been no conflict rules providing for the out-of-court setting-off of counter-claims, its procedure and admissibility. General rules contained in articles 1210 and 1211 can hardly apply in this case as they provide that only two counter­obligations regulated by their respective applicable laws can be set off. The proposed art.1217 par. 1 provides that setting-off is determined under the national law which applies to the relation which gives rise to the claim against which set-off is sought. Whether obligation is terminated by set-off according to the [arties’ agreement is determined by CCRF provisions on the law applicable to contract.
According to the Council, there should be amended art. 1219, par. 2 which states that when the parties whether individuals or legal entities are citizens of or are registered in the same country the law of that country applies to the tortuous liability arising from damage inflicted abroad. When the parties are not citizens but are residents of the same country the law of that country applies. The regulation of tortuous relations will be improved when the priority is given to conflict rule concerning the parties of non­contractual relations being residents rather than citizens of the same country. This approach reflects the increasing importance of residence rather than citizenship criterion and is getting world-wide acceptance.

According to the Council, par. 3, article 1219 which permits the parties’ choice of law applicable to tortuous liability should be revised to extend the autonomy of the parties’ will. It should be made possible for the parties to choose the law of any country and not only the law of the country where the tort has been committed. The Council’s position is reflected in article 1223, par. 1 proposed as a novelty which provides that occurrence of some actions or events resulted in damage or unjust enrichment, the parties can choose under the agreement made between them the law applicable to liabilities arising from tort unjust enrichment. The law chosen by the parties is applied without violating third parties’ rights. Moreover, the Council has proposed to solve the problem concerning the relation between contract and tort laws applicable in the event of causing harm closely connected with the contractual relations between the parties. Thus, when it follows from the facts of the case that tortuous liability is closely connected with the contract between the injured and faulted parties to carry out business activities, the said liability is regulated by the law applicable to the contract itself (par. 3, article 1219).
It should be concluded that the amendments proposed by the Council to the Russian conflict law are quite consistent and up-to-date. I believe, however, that further development of conflict law in Russia should be the drafting of a separate codified law on International Private Law or even International Private Law Code. There is every reason to succeed in this work taking into account works of Russian scholars in the area of private international law and existing laws and codes on private international law in other jurisdictions including the following:

Система юридических лиц в любом государстве постоянно развива­ется. Это обусловлено влиянием социально-экономических, правовых, политических и других факторов. Современные типы юридических лиц в России сформировались в конце XX в., в период становления рыночной экономики. Основной целью законодательства в сфере эко­номического оборота в тот период являлось обеспечение рыночного развития России, а для этого были необходимы:
– насыщение рынка субъектами, осуществляющими предприни­мательскую деятельность;
– создание правовых условий для доступности бизнеса;
– построение инфраструктуры рынка, прежде всего системы не­коммерческих организаций.
В современный период появилось много факторов, так или иначе влияющих на состояние системы юридических лиц. Речь идет о сле­дующих задачах, которые стоят сейчас перед Россией:
– модернизация ГК РФ как системное обновление, создание норм, наиболее соответствующих современному развитию России;
– принятие антикризисных мер;
– создание Международного финансового центра в Москве;
– инновационное развитие.
За рубежом сегодня также активизировался процесс поиска новых форм бизнеса, и центральное место здесь занимает реформа законо-

дательства о партнерствах1 в ответ на потребности малого и среднего бизнеса (SMEs)2. Довольно остро встает вопрос, насколько соразмерен единый подход в регулировании при установлении даже минималь­ных требований, допустим, к акционерным обществам? Организации, принадлежащие к малому и среднему бизнесу, несут большие расходы по соблюдению минимальных требований законодательства даже тогда, когда они являются закрытыми формами бизнеса. Однако очевидно, что поиск низкозатратных новых форм ведения бизнеса не должен спровоцировать затратность ведения бизнеса с их контрагентами (не­определенность в том, как осуществляется управление, принимаются решения в организации-контрагенте, потребует специальных знаний, а значит, и дополнительных расходов). В законодательстве должен быть найден баланс между диспозитивностью, свободой самостоятельно строить модель взаимоотношений между участниками, с одной сторо­ны, и обеспечением правовой определенности и защищенностью всех участников рынка – с другой.
Следует добавить, что поиск новых форм юридических лиц в сфере предпринимательства обусловлен конкуренцией правовых условий, предлагаемых различными национальными правопорядками (в США конкуренция существует даже между штатами). Полагаю, что конку­ренция правопорядков, предлагающих наиболее адекватные современ­ным потребностям и гибкие формы, ускорит процесс реформирования законодательства о юридических лицах во всех странах. Для России этот вопрос будет особенно актуален по мере развития экономических отношений в рамках Таможенного союза (Республика Казахстан здесь является серьезным конкурентом).
В России с разных позиций ставятся вопросы о реформировании отдельных элементов системы юридических лиц. Подмечены основные тенденции изменения системы юридических лиц3:
– сокращение числа организационно-правовых форм юридичес­ких лиц;

– дальнейшее закрепление в законодательстве и на практике эко-
номически выгодных конструкций;
– упорядочение существующих организационно-правовых форм
некоммерческих организаций;
– переход к новым формам предпринимательских объединений капитала с целью аккумуляции инвестиционных средств и управле­ния ими.
В целом можно согласиться с указанными направлениями поиска новых форм юридических лиц. Отметим лишь, что при этом часто не принимается во внимание, как процессы реформирования будут развивать систему юридических лиц в целом, как новая система будет вписана в правовую систему России и согласована с действующим правопорядком.
Рассмотрим подробнее, какие вопросы сегодня в России являются предметом дискуссий и затрагивают, так или иначе, законодательство о юридических лицах. Также постараемся исследовать, какие факторы оказывают влияние на процесс реформирования данной части зако­нодательства.
Наиболее дискуссионными вопросами являются:
1. Реализация Концепции развития законодательства о юридичес­ких лицах как составной части Концепции развития гражданского законодательства Российской Федерации1.
2. Статус публичных юридических лиц.
3. Установление различного правового режима для публичных и не­публичных хозяйственных обществ (проект закона, разрабатываемый Министерством экономического развития РФ);
4. Статус хозяйственных партнерств (проект Федерального закона № 557159-5 «О хозяйственных партнерствах» (внесен Правительс­твом РФ; принят в первом чтении – Постановление Государственной Думы ФС РФ от 29 июня 2011 г. № 5551-5 ГД2).
Кратко остановимся на каждом из вышеназванных вопросов. На ос­нове положений проекта Федерального закона о внесении изменений в Гражданский кодекс Российской Федерации, разрабатываемого Советом при Президенте Российской Федерации по кодификации

и совершенствованию гражданского законодательства1, а именно проекта разд. I ГК РФ, можно выявить следующие основные идеи:
– сохранение двухуровневого регулирования статуса юридических лиц (общие нормы – в ГК РФ, а специальные – в отдельных законах);
– закрепление исчерпывающего перечня организационно-правовых форм не только коммерческих, но и некоммерческих организаций (пос­кольку процесс появления новых форм стал абсолютно неуправляем);
– закрепление понятия корпоративной организации (корпорации) в целях единообразия регулирования всех корпоративных по своей сути отношений;
– закрепление статуса публичного акционерного общества;
– отказ от формы «общество с дополнительной ответственностью».
Однако предложенными изменениями в Гражданский кодекс РФ (в целях реализации Концепции развития законодательства о юриди­ческих лицах) весь комплекс поднимаемых вопросов развития системы юридических лиц не исчерпывается.
Рассмотрим следующее направление обсуждаемых проблем – за­крепление статуса публичных юридических лиц, или юридических лиц публичного права. Концептуально создание современного законода­тельства, устанавливающего статус такого вида юридического лица и обеспечивающего его деятельность, было закреплено в свое время в Концепции развития корпоративного законодательства на период до 2008 г., разработанной Министерством экономического развития РФ2. В п. 14 Плана мероприятий к Концепции была предусмотрена разработка Концепции и законопроекта, направленных на форми­рование законодательства о публичных юридических лицах (в целях введения в российское законодательство категории юридического лица публичного права).
На сегодняшний день сторонниками этой идеи предлагается3:
– установить критерии разграничения государственных и негосу­дарственных юридических лиц публичного права;
– негосударственные лица публичного права, для которых харак­терно то, что они создаются по инициативе государства, должны про-
