3. Price

The goods will be delivered at prices agreed upon by the parties and indicated in the specifications, packing being either included or excluded, depending upon the nature of the goods supplied.

The Agents will fix the selling prices for the goods upon agreement with Rossexport, taking into consideration that the difference between the selling price and the contract price is to constitute the commission fee of the Agents and is to cover all expenses connected with the demonstration and sale of the goods as provided for by the present contract.

4. Delivery time

The goods shall be delivered within the period stipulated in the specifications agreed upon between the parties.

The date shown on the Bill of Lading or on the Railway Bill shall be considered as the date of delivery.

Rossexport have the right to deliver the goods prior to the stipulated dates, notifying the Agents beforehand.

5. Notification of shipment

Rossexport undertake to advice the Agents by cable of the shipment of the goods, indicating the date of shipment, port of shipment or station of despatch, name of ship, number of the Bill of Lading when shipment is effected by sea, or of the Railway Bill when the goods are dispatched by rail, as gross and net weight.

Simultaneously with the shipment of the goods Rossexport shall send to the Agents a specified proforma-invoice in ... copies giving the value of the goods shipped in accordance with clause 3 of the present contract.

When shipment is effected by sea Rossexport shall send along with the goods a copy of the Bill of Lading and ... copies of specification by Captain's mail.

6. Transhipment and return of goods

In case the goods are recalled by Rossexport, the Agents undertake:

a) to pack and mark the goods to be returned in conformity with the instructions forwarded by Rossexport and in accordance with the conditions of this contract, applying all the necessary means of preservation to fully protect the goods from corrosion;

b) to ship the goods not later than within one month of receipt of Rossexport's shipping instructions;

c) the date shown on the Bill of Lading or on the Railway Bill shall be considered as the date of transhipment or return of the goods to Rossexport.

All expenses connected with the return of the goods to be borne by ....

7. Expenses connected with the demonstration and advertising of the goods

The Agents shall bear all transport expenses from ... to the place of destination as well as all expenses connected with the organization and maintenance of the consignment warehouse and show-rooms, installation and demonstration of goods also expenses connected with showing the goods in operation, with advertising and insurance of goods kept at the consignment warehouse and in show-rooms and with the sale of the goods to third parties.

8. Terms of payment

Within two days after the sale of the goods the Agents shall notify Rossexport accordingly.

Payment of the full value of the goods sold shall be made by the Agents within 7 days from the date of sale.

The Agents shall inform Rossexport of the prices at which the goods have been sold to third parties.

The Agents are not entitled to make any deductions from the sums due to Rossexport as a security for claims which might have been made 00 Rossexport or on third parties. /
