Construction stage: founding relations with the future operator
1. The hotel is a specific real estate object that must comply with a lot of special rules and regulations. In order to consider them, negotiations with the potential operator are usually started at the design and construction stage. This enables the prospective operator to supervise the progress of design and construction and ensures the final compliance of the facility with the requirements of a particular hotel chain.
2. Insofar as the agreement to be concluded with the operator contains civil law regulations that are typical of various types of agreements (such as contractor, services, and agency agreements), from the point of view of Russian legislation, the agreement is considered to be of mixed type.
3. In practice, a large number of various forms of agreements exists which need to be concluded at this stage. The choice of the particular agreement type will depend on which of the cooperation forms match the parties' commercial intentions the most.

As a rule, foreign hotel operators want to make agreements that they conclude in Russia subject to foreign legislation. However, several Russian legislative regulations are effective irrespective of the legislation selected by the parties. Due to this, it is recommended that in every particular case the agreement be checked to comply with the requirements of Russian legislation. Otherwise, the effective protection of the parties' interests in Russia may be jeopardized.
4. Russian law is also compulsorily applicable to agreements concerning real estate located in the territory of Russia. Therefore, all issues relating to the transfer of rights to real estate (if such rights are assumed) shall be determined in a separate document drawn up in accordance with Russian legislation. A state arbitration court may refuse to acknowledge and execute a foreign court decision if the right to real estate was subject to an arbitration procedure.
5. Considering that the contract is to be fulfilled in Russia, it is advisable to check the agreement from the point of view of tax, and, in particular, to provide for acknowledging expenses for taxation purposes.One of the typical ways of registering the parties' legal relations at the stage preceding the actual operation and administration of the hotel is to conclude a preliminary agreement.
6. It often happens that parties modify the preliminary agreement with a number of additional terms and conditions governing the parties' relations as for concluding the main lease agreement. For instance, this could include the conditions for executing the finishing works, contributing security payments, and penalty sanctions in case of deviation from the main agreement.
The preliminary agreement indicates the term within which the parties
undertake to conclude the main agreement. If nothing is set out, the term of one
year will be applicable, and after the expiry thereof; the parties‘ obligations will
be terminated.

Key types of agreements
As a rule, large hotel chains already have own sample agreements for administration of hotels and strive to adhere to them. The key forms of building up relations with a hotel operator are administration agreement, franchising agreement and lease agreement. Mixed variants are also possible, but the choice of the particular agreement term depends on the parties' economic interests.
The lease.
The specific feature of the parties' relations in the framework of a lease agreement is that the hotel operator obtains the right to use the hotel building as a real estate object.
One of the key features of lease relations with the hotel operator in Russia is the impossibility to govern the parties' relations on constructing and leasing the hotel within one agreement.
It is very important to conclude a preliminary lease agreement (its specific features are commented above) and after completing the construction and registering the ownership right, conclude a main lease agreement.
As a hotel lease agreement is a long term agreement, it is subject to obligatory state registration.
The administration agreement.
A hotel administration agreement‘s subject is the fulfilling of administration services for the hotel by a managing company; thus, it acts as an agent on behalf of and at the expense of the hotel owner.
As a rule, the agreement with the managing company is a framework agreement that contains key provisions for the rights and obligations of the parties.
The managing company performs the following main functions: supervising and administrating hotel operation, establishing prices, keeping account records, concluding agreements with leaseholders, maintaining a suitable condition for the hotel property, purchasing foodstuffs and other items, and participating in the accounting of the selected hotel chain and others.
The commercial assignment (franchising) agreement.
When it comes to a franchising agreement, a foreign hotel chain specifically grants, to the hotel owner, a package of rights to use the trademark and ―know-how‖ on administrating the hotel.
On the whole, the package of services fulfilled by the franchiser is basically similar to the functions of a managing company. The difference is that in the case of franchising the hotel is actually administrated by the hotel owner or a company involved. It should be noted, that franchising agreements effective in the territory of Russia are subject to state registration with the relevant authorities. The hotel owner is responsible for observing quality standards.
Conclusion
Although a significant number of foreign hotel operators have already entered the Russian market, the regions continue to demonstrate a distinct lack of high quality hotels. 'This is also true for big cities like St. Petersburg, where the

government continues to support hotel infrastructure and tourism development.

Development of the hotel industry in post-Soviet Russia
Part 1
International hotel chains came to Russia in the early 1990s. In 1991, Raddisson SAS started with "Slavyanskaya"; in 1993, the following brands arrived: Intercontinental, Kempinski, Accor, Marco Polo, IMP Group and Renaissance. In 1997, more world brands came to Moscow; these included: Forte le Meridien, Holiday Inn, Sheraton and Marriott.
However, up until 2008, we had a situation of many expensive four or five star hotels in the centre of Moscow, which is one of the main sights of attraction for tourists, with the exception of St. Petersburg and a great lack of affordable three star hotels with good service.
Part 2
The situation had been improving as the Moscow government tried to take some steps to attract more tourists to Moscow through the construction of new three star hotels. Every year Moscow adds from 1,000 to 3,000 rooms and there is no lack of three star accommodation in Moscow. Three star hotels are in greatest demand amongst tourists. The average occupancy of three star hotels is now 70%; according to statistics, previously, it was never more than 65%.Currently, Moscow has 247 hotels with a total room capacity of about 100,000.
Part 3
Moscow remains the most expensive city in the world as far as hotel rates are concerned. According to the International Hotels and Restaurants Association, the cheapest hotels are in the USA and the most expensive are in Moscow. In the USA, the average night costs USD 60, in Switzerland USD 100, in London -USD 115 and in Moscow - USD 300. The average tourist spends approximately USD 1400 per 3-4 day trips.

Although there is a program to start building more three star hotels, another opinion exists- we do not need more hotels. Instead, we need to increase the occupancy of existing hotels to 80% as in Europe and drop down the rental prices.
Part 4
According to the information from Moscow government, in 2016 about 5000000 tourists visited Moscow, which is 2 % more than in 2014. Of these, the highest numbers of tourists were citizens of Germany, USA, China, UK, Italy and Japan. Records show that from 1999 there has been a 10 to 12% increase annually. Be that as it may, the ongoing crisis has had some influence on the situation, with people starting to spend less on their vacations.
Part 5
The first serviced apartments became available in Moscow in the late 1990s. There are two main factors behind this. First, there are very expensive five star hotels in the centre and very poor quality three star hotels. Serviced apartments were up to 50 % cheaper than 5 star hotels and offering central locations, more space and a reasonable quality and service. The second reason is that some people stay longer than 2 to 3 weeks and prefer to live in a more homely setting; thereby, leading to a demand for serviced apartments.
Currently, there are more than 50 companies offering serviced apartments in Moscow, with up to 1 000 units. It is less than 0.01 % of the total hotel rooms, so the business does not compete the hotels at the moment. However, with each passing year, serviced apartments become more and more popular amongst visitors to Moscow. Mostly, these apartments are offered by companies who rent and then sublet private apartments.
There are also some apartment hotels in Moscow, such as the Volga Hotel, Irbis Hotel and the Pokrovka Suite Hotel. However, this is a very young and underdeveloped market.

Is a hotel better than a serviced apartment or vice versa? There is no definite solution in terms of an ideal accommodation. For some, a serviced apartment better suits their needs and for others, it's a hotel.
Corporate usage of serviced apartments.
Aside from offering more comfortable accommodation to travelling families and small groups (which allows even greater savings if one takes into account advantages no. 3 and 9 above), serviced apartments are also very popular for medium-term visits by corporate clients.
For example, if a person is coming to work for 2 to 3 months on a project, it is often the case that he or she wants to stay in an apartment rather than a hotel, even if it is the most prestigious one. This is because those travelers are always on the move; they are tired of hotels and want to live in a more homelike and informal environment.
What services are available?
Usually a serviced apartment offers services similar to those in hotels. These include cleaning, laundry, ordering of taxi, visa registration, etc.
