Inspection and Test

The Sellers’ notifications of the readiness of the equipment for tests are to be sent to the Buyers and to be received by them not later than 45 days before the tests are supposed to start. If the Buyers or their representatives inform the Sellers in writing before the beginning of the tests that they will not be able to be present at the tests of the equipment or if the Sellers do not receive from the Buyers any information on respect of the inspection of the equipment by the date stated in the notification, the Sellers have the right to carry out the test without the Buyers inspectors.

Upon completion of the test of the equipment in the presence of the Buyers’ inspectors, or in their absence, the Sellers are to draw up in the shortest time a Test Report stating in details the results of the test as well as confirming the fact that the results of the test as well as confirming the fact that the manufactured and tested equipment is in conformity with the technical conditions, dimensional outline drawings and all other terms and conditions of the present Contract.

Assignment:

The tests of the equipment were conducted in the absence of the Buyer’s representatives. How will you explain this fact to the Buyer?

Arbitration

All disputes and differences, which may arise out of or in connection with the present contract, will be settled as far as possible by means of negotiations between the Parties. If the Parties do not come to an agreement, the matter, with the exception of recourse to Courts of Law, is to be submitted for settlement to Arbitration, with its seat in Stockholm, Sweden.

Arbitration shall be established as follows:

The Party, which wishes to refer the dispute to Arbitration, shall notify the other party by a registered letter stating there the name and the address of the arbitrator chosen who can be a citizen of any country as well as the subject of the dispute, date and No. of the Contract. Within 30 days of receipt of the above letter the other Party shall choose its arbitrator, and inform the first Part of it by a registered letter stating the name and the address of the Arbitrator chosen.

Assignment:

You have received a complaint from the Buyer, but appreciate it as unjustified. What measures can you take in this connection?

Packing

The equipment is to be delivered in export seaworthy packing suitable for the type of the equipment to be delivered.

In case the equipment is to be packed in wooden cases they are to be made of high – quality timber, devoid of cracks, knots falling out and other defects lessening rigidity and safety of packing.

For upholstering the case walls from the inner side waterproof materials are used.

All open and processed parts surfaces are to be covered thoroughly with anticorrosion materials.

Packing and storage are to provide full safety of the equipment from any kind of damage or corrosion during the transportation of the equipment by all kind of land and sea transport, taking into account trans – shipments in transit as well as long storage during hot summer and cold winter (up to 40 C)

Assignment:

The weight of the equipment which you are to dispatch exceeds 500 kg. It can be loaded only on deck. What are your responsibilities and actions according to the Contract?
