Organization of work

In connection with the present contract the Agents undertake:

1. to make arrangements to gave the goods demonstrated and shown in operation in special show-rooms or on other premises suitable for that purpose;

2. to organize shows of the goods;

3. to set up warehouses adapted for the storage of the goods;

4. to provide advisory services and render technical assistance to purchasers of the goods;

5. to arrange for regular advertising of the goods on show making use of the most efficient forms of publicity and also to issue catalogues, leaflets and other advertising matter, the form and contents of the advertisements being agreed upon with Rossexport;

6. to give quarterly reports to Rossexport regarding the state of the market in respect of goods supplied on consignment under the present contract;

7. to submit reports to Rossexport on the first day of each month regarding both the goods sold and the balance of goods unsold as indicated in the proforma-invoices.

The representatives of Rossexport shall have the right to visit the consignment warehouse and show – rooms with the view of investigating the maintenance of the goods delivered by Rossexport and the arrangements made for their demonstration.

Assignment:

Rossexport sent a wide range of consumer goods for retail sale. The goods have arrived in the port and are waiting for collection by retailers. What are your

Specification

Any freight advance, which is not to exceed one-third of the total freight, to be settled in cash in exchange for captain’s receipt and policy of insurance or cover Note. The amount of the advance shall be endorsed upon the Bill of Lading in British sterlings.

In case the manufacture and/or shipment and/or sea transport of any of the goods should be delayed or hindered by reason of fire or through an accident to the saw mills, or through drought, ice, floods, mobilization, delay to vessel chartered, or through any other cause beyond Sellers control, the Sellers, provided they give notice by telegram to Buyers as soon as possible after such delay or hindrance has been established, shall not be responsible for any damage resulting to the Buyers therefrom: if shipment of the whole or part is thereby effectively rendered impossible within six weeks of the stipulated time of shipment Sellers shall then have the option of canceling the contract to the extent of their inability to deliver, and also of being released from the obligation of delivering the remainder, leaving, however, in this event, Buyers the right of taking the goods that are available at corresponding f.o.b., price subject prompt decision.

Assignment:

The Buyer paid the advance in accordance with the Contract terms, but did not receive the cargo in the course of 30 days from the stipulated date. You (the Seller) have received a claim from him for reimbursement. Your actions.
