Aim of the seminar: to form knowledge about board of directors and committees in multinationals.

Outcome: students should orient in board practices in multinationals, know how to define, analyze and evaluate the system of relations between governing bodies in corporation. Students should be able to find weaknesses of current board structures in multinationals and give recommendations for improving.

Key issues to be discussed at the seminar

1.Revising lecture material. Students should pay attention to the following issues of corporate governance highlighted at the lectures:

Models of board of directors applied in banks;

Role of committees in banks;

Audit committee in banks;

Nomination committee in banks;

Remuneration committee in banks;

Role of risk committee in banks;

Outcome: students should know the main requirements as for board and committees structures on international and national levels presented by legislation. Criteria and recommendations of stock exchanges and other organizations are also should be under the scope of interest for students.

Aim of the seminar: to form knowledge about structure, essence and issues concerning remuneration of key persons in multinationals.

Outcome: students should be able to analyze the structure of directors’ remuneration. Students also should know the basic theoretical fundamentals of directors’ remuneration and be able to orient in basic elements of directors’ remuneration.

Base pay and its role in remuneration system for executives;

Aim of the seminar: to form knowledge about structure, essence and issues concerning remuneration of key persons in banks.

Outcome: students should be able to outline specifics of directors’ remuneration in banks. Students have to distinguish specifics of executives’ and non-executives’ remuneration. Students are also should be able to give proposals to recent compensation schemes for better performance of all types of directors in banks. Regulation of remuneration in banks should be also under the interest of students.

TOPIC 8. Corporate Governance in Banks and Non-bank Corporations: a Search for Differences

Aim of the seminar: to form knowledge about main differences in governance of banks and non-banking corporations.

Outcome: students should be able to outline the differences between non-banking corporations and banks according to comparative analysis of governance structure of chosen corporations including board structure, the system of committees, directors’ remuneration, and the system of internal and external audit.

Key issues to be discussed at the seminar

TOPIC 9. Corporate Governance: Regulation and Reforms

Aim of the seminar: to form knowledge about key aspects of corporate governance regulation framework.

Outcome: students have to orient in different regulatory changes concerning governance in multinationals. Separate national and international initiatives should be under the consideration. Students have to be able to analyze key aspects related to governance procedures and be able to participate in the discussion about the further regulatory changes.

2.Please, use the following law mentioned in lecture materials to prepare an overviews of bailout programs in the UK, USA, and EU.

3.Case of Ukrainian and Italian law. Despite the different approaches to corporate governance models in these countries it is necessary to identify the main problems that might arise within the existing models. It is important to summarize current problems and make a conclusion about actual similarity of problems, despite the presence of different models in both countries. Within the case it is also planned to find real examples of the identified problems: for Italy – Parmalat and its bankruptcy; for Ukraine – problems with minority shareholders and the issue of control (you may choose your own example for Ukraine). To illustrate the problem you can take famous scandals, as an example, related to corporate governance issues.

As the result of work with the case the following issues should be dis-
