10. FORCE MAJEURE

10.1. Should any circumstances arise which prevent the complete or partial fulfilment by any of the Parties of their respective obligations under this Contract, namely: fire, flood or earthquake, the time stipulated for the fulfilment of the obligations under the Contract will be extended for the corresponding period of time. If the above circumstances continue to be in force for more than 4 months each Party will have the right to refuse any further fulfilment of the obligations under the Contract and in such case neither of the Parties will have the right to make a demand upon the other Party for compensation of any possible losses. The Party for whom it becomes impossible to meet its obligations under the Contract will immediately but not later than 10 days advise the other Party as regards the beginning and cessation of the cir-cumstances preventing the fulfilment of its obligations. Certificates issued by the respective Chambers of Commerce of the Seller's or the Buyer's country will be sufficient proof of such circumstances and their duration. In case any of the Parties fail to inform the other Party of the beginning or cessation of these force-majeure circumstances in due time it deprives it of the right to refer to these circumstances.

11. ARBITRATION

11.1. In case of disputes or disagreements arising out of the present Contract or in connection with it the Parties shall do their utmost to settle such dispute or disagreement in any amicable way. If no settlement is achieved the dispute or disagreement is subject to consideration and final

10. ОБСТОЯТЕЛЬСТВА НЕПРЕОДОЛИМОЙ СИЛЫ 10.1. При возникновении об-

стоятельств, которые мешают выполнению частично или полностью своих обязательств по Контракту одной из сторон, а именно: пожар, наводнение, земле трясение, — срок выполнения обязательств переносится на соответствующее время. Если обстоятельства, упомянутые выше, продлятся более 4 месяцев, каждая из сторон имеет право отказаться от дальнейшего выполнения своих обязательств, при этом ни одна из сторон не имеет права требовать от другой стороны возмещения возможного ущерба. Сторона, для которой стало невозможным выполнение своих обязательств по Контракту, немедленно и не позднее чем в течение 10 дней сообщает другой стороне о сложившихся обстоятельствах и событиях. Справки, выданные Торговой палатой страны Покупателя или Продавца, являются достаточным доказа-тельством возникновения подоб-ных обстоятельств и их продолжи-тельности. Если сторона не сообщит или несвоевременно сообщит о возникновении обстоятельств форс-мажор, это лиша-ет ее права ссылаться на них.

11. АРБИТРАЖ 11.1. В случае возникновения споров

или разногласий, вы-текающих из настоящего Кон-тракта или связанных с ним, стороны примут все меры к урегулированию такого спора или разногласия дружественным путем. Если согласие не будет достигнуто, спор или разногласие

settlement by the Arbitration Court of Chamber of Commerce of the Russian Federation, Moscow, without recource to commercial courts or courts of justice. The ruling of the said Arbitration shall be final and binding upon both Parties.

12. OTHER CONDITIONS

12.1.Neither of the Parties shall have the right to assign its rights and obligations under this Contract to third Party without a written consent of the other Party. All bank charges in the Seller's country are to be borne by the Seller and all bank charges in the Buyer's country are to be borne by the Buyer.

12.2.All amendments and additions to the present Contract are valid only if they are made in writing and signed by duly authorized representatives of both Parties.

12.3.After signing of the present Contract all previous negotiations and correspondence between the Parties shall be considered null and void.

12.4.The present Contract has been signed in Nizhny Novgorod in two copies, one for each Party, in Russian and in English, both texts being equally valid and consisting of 4 pages including Appendix.

12. ПРОЧИЕ УСЛОВИЯ

12.1.Ни одна из сторон не имеет права передавать свои права и обязанности понастоящему Контракту третьему лицу без письменного согласия другой стороны. Все банковские расходы на территории страны Продавца относятся на счет Продавца, на территории страны Покупателя — на счет Покупателя.

12.2.Изменения и дополнения к настоящему Контракту действительны лишь тогда, когда они оформлении письменно и подпи-саны полномочными представи-телями обеих сторон.

12.3.После подписания данного Контракта теряют силу все связанные с ним предыдущие переговоры и корреспонденция.

12.4.Настоящий Контракт подпи-сан в г. H. Новгороде в двух экземплярах на русском и анг-лийском языках, причем оба текста имеют одинаковую силу и содер-жат вместе с приложением 4 страницы.

India,

represented by its Chairman, Mr. Mohan SHAH, hereinafter called the "PURCHASER", AND

R.A.M.A., 18 Rue Jean Goujon, 25008 PARIS (France),

represented by its Managing Director, Mr. Philippe DURAND, hereinafter called the "SELLER".

WHEREAS:

(1)The Government of India is planning the implementation of a program involving the design, the engineering, the supply, the construction, the installation and the commissioning of various educational TV rural schemes.

(2)The PERCHASER has been selected and appointed by the GOI to execute and carry out work in relation to this project and awarded an open general import license No 90/KL/M/72309 G on 19.07.1990.

(3)The SELLER has submitted an offer to the PURCHASER on 27.02.1990 for supply of miscellaneous equipment (hereinafter referred to as the "EQUIPMENT") in relation to this project.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

(1)In this Contract words and expressions shall have meanings assigned to them, except where the context otherwise requires.

(2)The PERCHASER and the SELLER when intended to be referred to together are hereinafter called the "Parties".

(3)In consideration of the payment to be made by the PURCHASER to the SELLER as hereinafter mentioned, the SELLER covenants with the PURCHASER to supply the EQUIPMENT in conformity in all respects with the provisions of his offer dated 27.02.1990.

(4)The PERСHASER hereby covenants to pay the SELLER in consideration of the supply of the EQUIPMENT the Contract price at the times and in the manner prescribed hereinafter.

(5)The present Contract will come into force when all of the following conditions shall be complied with by the PARTIES:

— Signature of the present Contract by the PARTIES,

— Receipt by the SELLER of the Letter of Credit opened by the PURCHASER in accordance with clause 5 hereafter.

AGREED:

(1) THE EQUIPMENT

1,350 — (One thousand three hundred and fifty) — Black and White Receivers adapted and tuned to Indian standards (5,5 MHZ), as per technical specifications, operating procedures and drawings attached hereto, which shall be deemed to form and read and construe as part of this Contract.

Individual packing for airshipment, including 2 silica gel bags (200 grs. each).

Spare parts as per list attached hereto, which shall be deemed to form and read and construe as part of this Contract.

The SELLER guarantees that all the EQUIPMENT (including spare parts) supplied under this Contract is free from defects. Such a guarantee is limited to a period (hereinafter called the "THE DEFECT LIABILITY PERIOD") of 18 months as from the date of dispatch from France or 12 months as from the date of commissioning on site, whichever is the earliest.

If any such defect shall appear during the DEFECT LIABILITY PERIOD, the PURCHASER shall forthwith inform the SELLER, stating in writing the nature of the defect. The SELLER undertakes to make good such defect by repairing or replacing at his own option and cost the defective part(s).

The PARTIES agree that the DEFECT LIABILITY PERIOD will not be extended by a period equal to the period during which the EQUIPMENT cannot be used by reason of that defect, nor will the repair and/or replacement of defective parts give rise to an extension of the DEFECT LIABILITY PERIOD for said parts.

The SELLER will not be liable to replacing and/or repairing any defective part(s) of the EQUIPMENT, resulting from causes such as — but not limited to — normal wear and tear, improper use, lack or insufficient maintenance, modifications or repairs carried out without the consent of the SELLER.

Maintenance documentation in English will be supplied in ten copies.

(2) CONTRACT PRICE

1,400 French Francs per receiver (including spare parts), FCA Paris (Charles de Gaulle) AIRPORT (Incoterms ICC 1990). Total contract price: 1,890,000 FF (One million eight hundred and ninety thousand French Francs).

Commercial invoices to be made out in French Francs. Payments to be effected in French Francs.

(3) DELIVERY

Airshipment to be effected not later than 31st October 1990, as per schedule of deliveries attached hereto, which shall be deemed to form and read and construe as part of this Contract.

The PERCHASER shall issue appropriate instructions as to the shipping arrangements not later than 16th October 1990.

Documentation shall be prepared in accordance with the requirements of the Letter of Credit (referred to in Clause 5 hereafter) to be opened by the PURCHASER in favour of the SELLER and limited to AWB, Commercial Invoices, Packing List, Certificate of Origin.

Should Test Certificates be required, all costs resulting therefrom, shall be borne and paid by the PURCHASER.

(4) LOSS, DAMAGE AND DELAY

Risk of loss and/or damage of the EQUIPMENT, or any part thereof, shall pass onto the PURCHASER upon delivery of the EQUIPMENT or part thereof to the carrier or another person (e.g. freight forwarder) named by the PURCHASER or chosen by the SELLER in the case the PURCHASER fails to give appropriate instructions in this respect, as provided in Clause 3 hereabove. Insurance cover will be taken care of by the PURCHASER at his own cost.

The SELLER shall not be liable for failure to perform or for delay in performance due to fire, flood, strike, or another labour difficulty, act of the PURCHASER or of any civil or military authority, insurrection, riot, embargo, vehicle and/or aircraft shortage, wreck or delay in transportation, inability to obtain necessary labour or manufacturing facilities from usual

sources, late performance by the SELLER'S suppliers, or due to any other cause beyond the SELLER'S reasonable control.

In the event of delay in performance due to any such cause, the date of delivery may be postponed for such length of time as may be reasonable, necessary to compensate for the delay and the PURCHASER undertakes to amend accordingly the terms and conditions of the Letter of Credit referred to in Clause 5 hereafter.

(5) PAYMENT

The PERCHASER shall open an irrevocable, transferable, divisible documentary credit in favour of the SELLER. Partial shipments and transhipment allowed.

The Letter of Credit shall be confirmed by a bank in France, preferably BANQUE FRANCHISE DU COMMERCE EXTERIEUR, Paris, or SOCIETE GENERALE, Paris, and provide for the following terms of payment:

20 percent advanced payment against submission of a bank guarantee for same amount, to be released upon presentation of the documents called for in the Letter of Credit,

80 percent upon presentation of the documents called for in the Letter of Credit. All bank charges outside India shall be borne by the SELLER.

(6) LANGUAGE AND GOVERNING LAW

The ruling language to which this Contract is to be subject is English.

The rights and obligations of the PARTIES shall be construed, enforced and performed in

accordance with the laws of India.

(7) SETTLEMENT OF DISPUTES

All disputes or differences of any kind in connection with or arising out of this Contract (whether before or after its termination, abandonment or breach) which cannot be settled amicably shall, upon any of the PARTIES' giving notice in writing to the other PARTY, be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by one or more arbitrators appointed under such rules.

The place of arbitration shall be London (UK). All proceeding and published findings shall be in the English language.

The arbitral award shall be binding on the PARTIES and become enforceable immediately.

IN WITNESS whereof, the PARTIES hereto have executed this Contract in two original copies through their duly authorized representatives, as of the day and year first above written.

Network Rail unveils its response to the Government’s High Level Output Specification: to deliver more trains, more seats, more often

At the beginning of November, Network Rail issued the Strategic Business Plan (SBP) that outlines its spending proposals for the five-year period from 2009 to 2014. The document forms part of the company’s ongoing discussions with the Office of Rail Regulation about its funding requirements for the period. The plan details what the company and its industry partners believe is required to grow and expand the railway to respond to the increasing demand for rail travel from both passengers and freight users.

Highlights of the five-year plan include:

More than doubling current spending levels on rail expansion schemes – £9.6 billion (2009 to 2014) compared to £4.3 billion (2004 to 2009)

A proposal to provide over 100,000 extra seats every day in around 1700 extra carriages

Continuing to improve the punctuality of all train services to over 92 per cent by 2014

Making the railway more efficient – over the ten years to 2014 the costs of running the railway will be almost halved

£11.4 billion investment over the period on renewing track, signals, structures and stations

£10.4 billion spend on maintenance and day-to-day operating costs

Iain Coucher, chief executive, said: “More and more people are using our railways. We, and the industry as a whole, recognise that this success brings new and exciting challenges. “Growth and expansion is where we will focus our efforts in the years ahead and today’s plan highlights a raft of small, medium and large expansion schemes that will provide passengers and freight users with a bigger, better railway that delivers more trains, more seats, more often. Delivering a safe, punctual and reliable railway each and every day will always stay at the core of our business.”

George Muir, director general of the Association of Train Operating Companies, added: “A better railway able to carry more people in comfort is urgently required. Passengers want it and if we can get people out of their cars it will be good for the environment. This plan shows how we will do it. It is a good plan and we will work together to develop it further before it is finalised next April.”

This plan forms part of the ongoing review by the Office of Rail Regulation (ORR) of Network Rail’s prospective spending budget for the period from 2009 to 2014. This is an iterative and continuing process that will not be concluded until this time next year.

The plan looks forward to Network Rail’s next five-year funding period and is built on the firm foundation achieved by the rail industry over the past five years:

Nearly 90 per cent of trains now run on time on a daily basis (only 78 per cent ran on time in 2002)

The number of late or cancelled trains has been halved compared to five years ago

Over £1 billion has been cut from the cost of running the rail network

Rail is now the safest form of transport, pushing air travel into second place

More people are using trains than at any time since 1946 (1.147 billion passenger journeys, 130 million more journeys than in France)

The UK has Europe’s fastest growing railway – nearly 45 per cent passenger and 50 per cent freight growth since 1996

An important part of the plan is Network Rail’s continued drive to reduce costs and make the railways more efficient:

In the ten years to 2014 Network Rail plans to reduce the costs of running the network by nearly a half

During the period (2009 to 2014) the cost of running the network will have been cut by £800 million a year compared to today

Expansion schemes

The plan includes all of the of the key rail projects that have already been announced and attracted funding from the Department for Transport. There are also many other potential smaller schemes that aim to increase capacity by, for example, lengthening platforms and trains. These schemes have been identified through careful analysis and discussion with train operators and third parties. Key projects include:

The Thames link upgrade programme: £2589 million

Reading station area redevelopment: £455 million

King’s Cross remodelling: £153 million

Birmingham New Street station development: £134 million

The costs of the key rail projects do not represent the overall cost of the scheme but represent Network Rail’s spend on the project in the five-year funding period of the plan (2009–2014)

Other schemes

A special fund for small improvement schemes: £234 million. This is a discretionary fund that the Government has indicated it would like to support. It would be managed by Network Rail to deliver scores of smaller (<£5 million) schemes that bring benefits to passengers or freight users which would not normally attract direct funding.

National stations improvement scheme: £156 million. This scheme targets approximately 150 of the busiest mediumsized stations. They will be selected, in consultation with train operators and others, for improvements to improve personal safety, information provision, access, overall presentation and other facilities

Scotland schemes

Working with and funded by Transport Scotland, Network Rail has also identified expansion schemes to benefit passengers and freight users in Scotland, including:

Glasgow airport link £170 million

Airdrive to Bath gate – new railway project £145 million

Freight schemes

There are a number of specific freight schemes aimed at making rail more competitive and removing thousands of lorry journeys per year off roads:

Peterborough to Nuneaton gauge enhancement: £70 million

Southampton to the West Coast ‘bigbox’ scheme: £33 million

Cross-London gauge and capacity improvements: £7 million

A greener railway

Rail is already a green form of travel but making rail travel more attractive, accessible and affordable. It will make a significant contribution to meeting society’s growing environmental

challenge. Included in the strategic business plan are a host of specific initiatives that Network Rail can take forward to boost rail’s green credentials, including:

A move to use renewable energy sources to power electric trains

Introducing light-weight trains that are trackand environmentally friendly

Recovering, recycling or reusing at least 80 per cent of waste generated at offices, stations and depots

A target to reduce the company’s carbon footprint by 20 per cent during 2009-14

Building news stations that are high quality but with a small carbon footprint

Iain Coucher concluded: “Our vision is one shared by our industry partners.

It is to deliver a railway where passengers have a safe, reliable, comfortable and environmentally friendly train service. A railway where passengers can travel when they want to, through stations that are modern, clean and secure with accurate information. All at a price that they and the country can afford.

“We want to provide a railway that people want to use. This industry plan can do just that, meeting Government priorities as well as the needs of passengers and freight users. “The money that we invest now will reap huge benefits and will make rail the travel option of choice. Rarely before has the country had such a great opportunity to improve rail services for the benefit of our industry partners, users of the railway, taxpayers and the economy as a whole.”

What now?

Following feedback from the ORR in February a revised business plan will be published in April 2008, with the ORR issuing its draft budgetary findings for Network Rail in the summer and a final budget for the period 2009 to 2014 being set in autumn 2008

Понятие публицистического стиля складывается из языка газет, общественнополитических журналов, воззваний и прокламаций, докладов, выступлений, бесед, речей, дискуссий, языка радио- и телепередач, документально-публицистического кино. Политическая информация охватывает явления, факты и события политической жизни общества, т.е. отношения между классами нациями, государствами. Сюда же включаются сообщения о событиях и явлениях, происходящих и в других областях общественной жизни, прежде всего в экономике и культуре, имеющие политическое значение.

Основная коммуникативно-прагматическая функция газетно-публицистического стиля – пропагандистско-агитационная. Она направлена, с одной стороны, на распространение политической информации, а с другой – на побуждение людей к действию, на активизацию их мыслей.

В отличие от официально-делового стиля публицистический стиль, входя в систему массовой коммуникации, не является обезличенным. Он индивидуализирован по группам людей: возрастным, образовательным, социальным, идеологическим, о интересам и т.д. Этим обусловлена эмоциональность и экспрессивность общественно-

политической коммуникации. Эмоционально-экспрессивная функция публицистического стиля характеризуется, прежде всего, открытой оценочностью.

В общих чертах из всего многообразия современного газетно-публицистического стиля можно выделить две большие группы текстов: газетно-журнальную публицистику

и социально-политическое красноречие.

Основу языка газетно-публицистического стиля составляет книжно-обиходный язык, представляющий собой сочетание элементов лексики и синтаксических структур разных стилей. Его книжный характер определяется тем, что он выражает целостную информацию, предварительно продуманную и организованную. Основной стилистический принцип организации языка в публицистике – сочетание стандарта и экспрессии.

3.1.Информационный тип текста

Винформационном типе текста публицистическая функция ограничивается функцией пропаганды (распространения) информации. Функциями пропаганды могут быть:

официально-информационная, реализующаяся в таких речевых жанрах, как заметка, сообщение, отчет, хроника, интервью, программа и т. д.;

информационно-деловая, реализующаяся в таких речевых жанрах как коммюнике, корреспонденция, обзор печати, резюме документа и т. д.;

неофициально-информационная, реализующаяся в основном в заметках и характеризующаяся экспрессивностью, эмоциональностью, литературно-разговорным языковым оформлением: используется непринужденная литературная речь, нейтральная, разговорная и книжная лексика, фразеология, различные стилистические средства;

информационно-экспрессивная, реализующаяся в сообщениях, к которым следует привлечь внимание читателей, вызвать интерес, поэтому здесь используются экспрессивные заголовки, экспрессивный порядок слов, экспрессивные метафоры, эмоционально-оценочные средства и т. д.

Ведущим речевым жанром в информационном типе текста является информационная заметка. Это речевое произведение небольшого объема, основным жанровым качеством которого является предельная сокращенность содержания, которое формируется вокруг основных пунктов: кто, что, где, когда, почему. Главным принципом языкового оформления информационной заметки является стандартность и языковая экономия.

3.2.Аналитический тип текста

Для аналитического типа публицистического текста характерно сочетание базовой информационной функции с функцией объяснения, толкования. Основным качеством таких текстов является аналитичность, которая выражается в схеме изложения: тезис, развитие тезиса (аргументация), вывод. Можно выделить следующие разновидности аналитического типа текста:

информационно-аналитический, сочетающий черты официально-информационного и информационно-делового стилей с чертами научного стиля и реализующийся в таких речевых жанрах как заметка, статья, рецензия и др.;

газетно-научный, имеющий черты научно-популярного стиля (использование специальной терминологии наряду со средствами речевой экспрессии) и реализующийся в таких речевых жанрах как статья, заметка, хроника, обзор, интервью, репортаж;

обобщающе-директивный, реализующийся в основном таких речевых жанрах как передовая статья или комментарий;

торжественно-декларативный, реализующийся в таких речевых жанрах как обращение, описание, приветствие, призывы, лозунги, где используются эмоциональноэкспрессивные средства при сохранении книжного строя речи.

3.3. Диалогические речевые жанры публицистического стиля

Среди диалогических жанров современной устной пропаганды и агитации следует назвать беседу, диспут, дискуссию, полемику, интервью. Все они построены на диалоге или полилоге, что мотивирует синтаксические особенности этих жанров, такие как синтаксическая неполнота оформления реплик, эллиптичность и др. Речь в них литературно-устная, не допускающая сниженной лексики, однако допускающая формулы устной речи (переспросы, умолчания, восклицания и т. д.).

Беседа – это вопросно-ответная форма обсуждения различных общественнополитических проблем с определенной политической или воспитательной целью. Для переводчика очень важно уловить атмосферу беседы, которая определяет тональность разговора.

Диспут – разновидность публичного обсуждения, происходящего в форме борьбы мнений между его участниками. При этом у участников диспута нет единой точки зрения и заранее подготовленного ответа.

Дискуссия – это обмен мнениями по поводу какого-либо спорного вопроса. Сущность дискуссии состоит в публичной защите или опровержении какой-либо мысли (тезиса). Поэтому в структуре дискуссии присутствуют а) выдвижение и защита тезиса первым оппонентом и б) аргументы, опровергающие данный тезис со стороны второго оппонента. Когда один из оппонентов согласится с другим, предмет дискуссии окажется исчерпанным. Дискуссии всегда свойственна та или иная степень остроты и эмоциональности, но тональность непримиримости отсутствует.

Полемика – это публичный речевой жанр, функция которого – защита своей точки зрения и опровержение мнения оппонента, что предполагает противопоставление мнений двух сторон, конфликтность высказываемых суждений и взаимоисключающий характер выводов. Тональность разговора может быть различной – от товарищеской полемики, близкой к дискуссии, до обличительной полемики, направленной на развенчание и разоблачение противника, поэтому нередко сопровождающейся гневом, насмешками, презрением, оформляемыми соответствующими эмоциональноэкспрессивными средствами.

Интервью – одна из форм диалогов-расспросов. Различают интервью вопросноответного типа, состоящее из ряда монологов, являющихся ответами на вопросы, и интервью-обсуждение, где репортер также выступает с развернутыми репликами оценочно-аргументирующего характер.

3.4. Ораторский подстиль публицистического стиля

Устная форма публичной речи существует в виде таких речевых жанров как доклад на общественно-политическую тему, отчетный доклад, политическая речь, дипломатическая речь, митинговая речь, агитационная речь, юбилейная речь, траурная
