2)Provision of scientific research, experimental-construction, promotional, scientific production, information-searching, information-bibliographic, consultative and expert-analytical work (services).

3)Publishing and distribution of academic, methodological and scientific literature, publishing and advertising through TV, video, radio programs and printed products, including periodicals.

4)Providing services in the sphere of the information technologies.

5)Organization and maintenance of the information-educational network, scientific-educational TV channel, development of the Internet resources, multimedia learning manuals.

6)Servicing, exploitation and repairing of computer equipment, academic laboratory stands and devices; development, replication and sale of the software products, academic laboratory stands and devices.

7)Selection and testing of candidates for continuation of education abroad, organization of distance learning, including foreign universities, under Master and PhD programs, and in-service training.

8)Attraction of foreign instructors and in-service training of Kazakhstani teaching staff.

9)Provision of the sport-sanitary services, rental of available dormitory rooms to the Company staff and students.

10)Conduct of other activities.

11)Educational aims and list of educational programs offered by the Company:

a) The educational aim shall be continuous upbringing and training of learners, for reaching a high level of their moral, intellectual, cultural and physical development and professional competence.

b) The Company shall offer the following educational programs:

· Higher professional education;

· Graduate professional education;

· Secondary professional education;

· Primary professional education;

· Supplementary professional education.

c) The educational programs shall be implemented in the following forms of education: full-time, correspondence, evening, distance and mixed.

d) Should a special permission (license, certificate) be required for any activities, the Company shall engage in those only after receiving the appropriate permission (license, certificate).

Property and the capital of the company

1. The Company property shall be intended for maintenance of the Company activities and shall belong thereto by the property right.

2. The Company property shall be formed by:

   1. Money resources and other property contributed by shareholders (founders, investors) to the Charter capital in payment for the purchased shares of the Company;

   2. The revenues gained through the Company activities;

   3. Other property, acquired on other legislatively stipulated grounds.

3. The property of branches and representative offices created by the Company shall belong to the Company by the property right.

4. The Charter capital of the Company shall be formed for maintenance of its activities from the payments for shares by the founders of the Company at their face-value and by investors at the placement prices established according to the legislative acts of the Republic of Kazakhstan and this Charter. Advance payments to the Charter capital of the Company shall be made in the order provided by the Constituent Agreement and decision of the Constituent Meeting.

5. The Charter capital of the Company may be increased in the order and on the bases provided by the legislative acts of the Republic of Kazakhstan.

6. The Company shall issue only simple shares. A simple share shall grant its holder the right to participate in the General Meeting of shareholders with the right to vote on all the voted issues. A simple share shall also entitle the shareholder to receiving dividends, if the Company makes profit, and to a part of the Company’s property in the case of its liquidation in the order established by the legislation of the Republic of Kazakhstan.

7. The Company shall issue shares in the paperless form.

8. The Company shall distribute its shares after the state registration of their emission.

9. The Company shares may be paid for with money, property rights (including the rights to objects of intellectual property) and other property, except for the cases provided by the legislation of the Republic of Kazakhstan.

10. Non-monetary payment for the shares shall be made at the price set by the appraiser operating on the basis of the license granted according to the legislation of the Republic of Kazakhstan.

11. The Company registrar shall form and keep and the Company shareholders register, according to the legislation of the Republic of Kazakhstan.

12. The Company may accept as a pledge its securities only in the case:

• The pledged securities are fully paid for;

• The total number of the pledged shares constitutes no more than twenty five percent of the distributed shares of the Company, except for the shares bought by the Company;

• The pledge contract is approved by the Company’s Board of Directors.
