PROJECT COST ASSIGNMENT AGREEMENT

СОГЛАШЕНИЕ ОБ УСТУПКЕ ЗАКАЗА НА ЗАКУПКУ ПО ПРОЕКТУ

XX Limited, being hereinafter re­ferred to as "ASSIGNOR," hereby assigns to YY hereinafter referred to as "AS­SIGNEE," all of ASSIGNOR'S inter­est, obligations, liabilities, claims rights and title under Purchase Order number dated by and between ASSIGNOR and (Ven­dor Name), hereinafter referred to as VENDOR. ASSIGNOR warrants that it is in performance of all its obliga­tions under said Purchase Order, and that VENDOR has made no claim against it nor notified it of any facts which ASSIGNOR reasonably be­lieves will lead to a dispute between ASSIGNEE and VENDOR in the future

Компания XX Лимитед, именуемая в дальнейшем «ЦЕДЕНТ», настоя­щим передает компании YY , именуемой в даль­нейшем «ЦЕССИОНАРИИ», все принадлежащие ЦЕДЕНТУ вещные права, обязательства, материаль­ную ответственность, права требо­вания и правовые титулы по Заказу на закупку № от оформленному между ЦЕДЕНТОМ и (имя Поставщика), именуемым в дальнейшем ПОСТАВЩИК. ЦЕ­ДЕНТ заверяет, что он исполняет все свои обязательства по указан­ному Заказу на закупку и что ПО­СТАВЩИК не предъявил ему ни­каких требований и не уведомил его ни о каких фактах, относитель­но которых ЦЕДЕНТ обоснованно считал бы, что они приведут в бу­дущем к спору между ЦЕССИО­НАРИЕМ и ПОСТАВЩИКОМ.

Заказ на закупку, конечно, имеет много общего с коммерче­ским контрактом — именно поэтому с ним связаны, как мы ви­дим, различные обязательства, ответственность и права. Кроме того, у компании может быть несколько поставщиков и, следова­тельно, несколько заказов на закупку. Поэтому в переводе заголо­вок конкретизирован, так как из текста соглашения следует, что речь идет не о стоимости всего проекта (project cost), а только о суммах, связанных с неким заказом на закупку.

Аффидевит

Аффидевит — это письменное заявление, сделанное под при­сягой в присутствии нотариуса. Аффидевит, как и контракт, со­ставляется в традиционной для него форме с использованием юридических клише, далеко не очевидных неспециалисту. По­этому пример перевода этого документа может оказаться полез­ным переводчику.

AFFIDAVIT

RELEASE OF LIENS AND ENCUMBRANCES

Pursuant to terms of Contract No. ... between XXX (herein referred to as "COMPANY") and YYY (herein referred to as "CONTRACTOR"), CONTRACTOR:

1. Fully releases and discharges the Indemnified Parties as defined in Contract No. ... from and against all claims, demands

and causes of action of every kind and nature arising directly or indirectly out of the Contract;

2. Certifies that its subcontractors and all parties who have performed the Work covered by the Contract, or any amendment,

modification or variation thereto, whether pursuant to oral or written agreement or otherwise, have been paid in full, and

further agrees to furnish COMPANY upon demand at any time, such evidence of payment thereof as may be required by

COMPANY.

3. On its own behalf and on behalf of its agents, servants, employees, subcontrac­tors and/or other furnishing labor, material or

services, forever waives and relin­quishes any and all liens, and all other legal rights to claim or file the same which any of

the above entities may now or hereafter have against the Indemni­fied Parties, their property, facilities, materials, equipment

and the Work, whether known or unknown arising out of or in any way connected with the per­formance of the Contract.

CONTRACTOR covenants that in the event the Indemnified Parties, or any of them, may in the future be called upon to pay for or defend against any liens, claims or de­mands of any kind arising out of the Work, and which CONTRACTOR is obliged to pay and discharge, CONTRACTOR will indemnify and hold harmless the Indemnified Parties from and against any such payment on defense, including reasonable legal fees and costs incurred in connection therewith, and will at the request of COMPANY and at its own expense take over and assume the defense and liability for any such lien, claim or demand.

CONTRACTOR further reconfirms the provision for warranties, audit and confidenti­ality and maintenance of indemnity of the Indemnified Parties against claims associ­ated with title and patents and liens under the Contract and that the payments made hereunder shall not in any manner be or constitute an acceptance of defective or im­proper materials or workmanship.
