§ 11. Validity of the contract.

11.1 Validity of the Contract:

12.1 The present Contract is made in two identical copies each in the Ukrainian and English languages with the Specification. forming an integral part of the Contract, one copy for each Party, each copy having equal legal force and being the basis for mutual settlements.

Due to the fact that the Specification and ihe Addenda to this Contract contain technical characteristics of the Products on the basis of technical documeniation in the Russian language the Parties have agreed to draw up the Specification and Ad­denda to the Contract in the Russian and English languages

12.2 The Contract may be dissolved unilaterally with the written notification of the other Party within a 10-days period if any of the Parties fails to fulfil the obligations arising out of ihe present Contract.

12.3 The Paries shall not be released from the fulfilment of their contractual obligations arising out of the transactions which had been carried out before expiration of the validity of the present Contract, in particular in respect of the settlement of accounts for the sold products.

12.4 All the Alterations and Addenda to the present Contract are to be made in writing, signed by authorized representatives and certified by both Parties.

12.5 The Parties shall not be entitled to transfer their obligations under the present Contract to a third Party without the writ­ten consent of the other Party.

12.6 The alteration of the country of destination shall be allowed only under the written agreement between the Panics The Buyers undertakes to submit to the Sellers (the manufacturer of these Products) the information about the subsequent re­sale of the Products as per countries of destination as well as to introduce a warning about the reexport in the Contracts of resale.

12.7 In the event of altering any country of destination or re­export without preliminary written agreement with the Sell­ers, the Buyers shall be entitled to increase the value of the shipped Products by 25 % irrespective of the right of prop­erty in the Products. The term of exercising the right to alter the value shall be 30 calendar days from the moment the Sell­ers were notified in writing about the alteration of the coun­try of destination. The Buyers shall be obliged to pay the dif­ference in the value within 10 banking days from the moment of receipt of a relevant notification from the Sellers or an au­thorized person. In the event of the failure 10 pay in lime. the penalty in the amount of 0.3 % shall be charged per each day of delay of the value of the Products in respect of which the country of destination was altered, but not more than 10 % of the value of the Products, in respect of which the country of destination was altered The date of payment shall be the date of placing to the bank account indicated by the Sellers.

12.8 The Buyers shall assume full responsibility for the obser­vance of the antidumping norms, regulations and procedures on their national market as well as on the markets of the sub­sequent sale of the Products The Buyers shall undertake not to carry out the transactions on these markets at the prices. which are dumping as per Legislation and International Trea­ties of the relevant state, and to be a sole defendant in all possible antidumping claims and complaints, and pay in full the duties, dues and other penalties which are imposed on the Products in accordance with the Antidumping Legislation of the importing country.

12.9 All the documents proceeding the concluding of this Con­tract, transportation documents (set of railway documents, certificates) as well as all the documents made out by the Railroad, independent inspecting companies and Chamber of Commerce and Industry shall be made out in the Russian or English language as per agreement between the Panics and are legally valid.
