Fees: No Sign Up Fee Required! This Option is yours for free with only a percentage taken out of royalties!

Royalties: Symphonic Distribution shall pay to Client eighty percent (80%) of all gross receipts received by Symphonic Distribution from its licensees deriving from the sales of all partners in our network.

Accountings: Symphonic Distribution shall render to Client an accounting report on a quarter annual basis, forty-five (45) days after quarter end, accompanied by payment of any amounts due. Any balance due under $500.00USD NET (aggregated for all Licensees) shall be rolled into the following quarter and paid only when the balance exceeds $500.00USD. For countries and/or individuals not accepting Pay Pal or USA checks, we do have the ability to send payments via Xoom and/or Wire Transfers. Xoom fees are to be deducted from your royalties and a $45.00 Wire Fee will be subtracted from your payment upon delivery.

Payment: Symphonic Distribution will provide any data given from partners into one lump sum payment to be paid to you quarterly. If a partner and/or royalties do not show for the partner, it is due to non payment from partner and/or that your material has not produced any income on these partners. Each and every partner will report royalties differently thus Symphonic Distribution will do its best to provide as much information as possible. For countries and/or individuals not accepting Pay Pal or USA checks, we do have the ability to send payments via Xoom and/or Wire Transfers. Xoom fees are to be deducted from your royalties and a $45.00 Wire Fee will be subtracted from your payment upon delivery.

In order to receive payment, Client must issue an invoice and/or payment request via the Symphonic Distribution Royalty Portal when quarterly reports are available. Failure to submit a payment request prevents Symphonic Distribution from paying out any royalty whatsoever. Your username and password for the Symphonic Distribution Royalty Portal will be emailed to you after the delivery of this agreement to the Sales department of Symphonic Distribution. Weekly Sales Estimates are provided to Client via the Royalty Portal but are not at all to be considered final concrete numbers as they are not Net To Symphonic Distribution amounts.

I. Agreement Default and Cancellation

If Client chooses to cancel the Agreement with Symphonic Distribution during the term valid on this agreement the following below will apply.

1. Symphonic Distribution will retain all royalties for the current quarter and two future quarters. Client will additionally deposit an additional $800.00 US Dollars no later than 30 days from the date of their cancellation for the cancellation of their brand during the term period.

2. Change of Ownership -- If brand is sold and/or changes ownership, this Agreement will continue to be valid until the expiration of the term. If new ownership wishes to cancel agreement, a fee of $800.00 USD must be issued to Symphonic Distribution and new ownership will forfeit the royalties for current quarter, future quarters, and/or royalties withheld from previous quarters.

3. If Client states that its operations are closing indefinitely and Symphonic Distribution or third party proves that Client is in fact not closing its operations, a penalty of $1,000.00 US dollars is to be paid to Symphonic Distribution for breach of contract. If Client refuses to pay penalty for breach of termination, Symphonic Distribution will pursue legal action resulting in increasing penalties.

4. Symphonic Distribution will take down releases on all of the platforms represented by our partners and will not transfer any content delivered via the systems provided by Symphonic Distribution to any other distribution partner, label group, and/or aggregator.

5. If Client signs any digital distribution or third party agreement not approved by Symphonic Distribution, Client agrees to pay a penalty of $800.00 US Dollars and will have to forfeit agreement signed without the approval of Symphonic Distribution.

Symphonic Distribution reserves the right to cancel this agreement anytime if Client fails to uphold the terms contained herein, or engages in misconduct, fraud, and interference with business relations or disruption of Symphonic’s business or any of its services and offerings.
