7. Force-Majeure
Should force-majeure circumstances occur namely: fire, flood, earthquake, export-import State intervention, then the time of delivery stipulated in Clause 4 of the Contract shall be extended for a period equal to that during which such circumstances will remain in force so far as these circumstances considerably affect the fulfillment of the whole Contract or a part of it.
The Seller will immediately inform the Buyer of the beginning and termination of any force-majeure circumstances.
In case the delay in delivery occurred on account of the force-majeure circumstances will be more than three (3) months, the Buyer has the right to cancel the Contract fully or partially and in this case neither Party will have the right to demand any compensation for their eventual losses from the other party.
8. Export License
The Seller shall obtain the Export License if necessary. Buyer will provide any necessary documents that may be required by the U.S. Government which must originate from Russia.
The Seller will inform the Buyers within forty-eight (48) hours upon receipt of the Export License.
9. Arbitration
The Seller and the Buyer shall make every effort to resolve any disagreement, dispute or differences that may arise out of or in connection with this Contract.
In the event that the parties are unable to arrive at an amicable settlement, all disputes and differences with the exception of recourse to legal procedure of the ordinary Courts of Law are to be submitted to arbitration for settlement by the International Arbitration Court at the Russian Chamber of Commerce and Industry in Moscow in accordance with the Rules of Procedure of the said Court. The Arbitration Award will be final and binding upon both Parties.
10. Insurance
Seller at its expense will provide insurance for damage or loss from handling and shipment which will be in effect from time of shipment from Seller’s factory.
11. Other Terms and Conditions
a. Neither Party shall have the right to assign to third parties their rights and obligations under the present Contract without written consent of the other Party.
b. All taxes, fees, custom duties, and expenses connected with obtaining Licenses for import into the Russia are to be borne by the Buyer.
c. All amendments and additions to the present Contract are valid only if made in writing and signed by the persons, authorized thereto by both Parties.
d. After signing the Contract all preliminary agreements, discussions and correspondence between the Parties concerning this Contract are to be considered null and void.
e. This contract is being provided in duplicate in both English and Russian and all copies must be executed. Each contract is assumed to be identical irrespective of translation and have equal power.
f. The payments for this contract are exercised from the Buyer’s.
g. The consignee for this contract is Enterprise №123.
12. Legal Addresses of the Parties
The present Contract is drawn up in English and Russian Languages in two originals – one original for each Party. All notices to be given hereunder shall be given in writing to the parties at the addresses indicated below.

Geography: Krasnoyarsk is a large Siberian region that takes up one-tenth of Russia’s total territory. Krasnoyarsk shares a border with the Republic of Tuva; Altai Territory; Yakutia and the Kemerovo, Tomsk, Tyumen, and Irkutsk regions. The topography varies from plains to mountains including the Sayan mountain range. The Yenisei, Kureika and Yadun rivers flow through the territory and form some of the largest waterfalls in Russia.

The American manufacturer Midway United Ltd and the Krasnoyark administration are developing a $100 mln plywood processing plant in Sosnovoborsk which will create over 1,000 jobs. The plant will produce large ply-wood boards and commercial veneer and, with a design capacity of 500 cu m, will be the largest such facility in Russia and Europe. 10% of production is scheduled for teh domestic market, with the bulk of exports aimed at US, European and Japanese markets.

В крае планируется построить 7мини-ГЭС
В Красноярском крае в ближайшее время планируется приступить к проектированию семи мини-гидроэлектростанций (мини-ГЭС).
Об этом в своем выступлении на международном конгрессе «Энергетика в глобальном мире» 16 июня заявил вице-премьер правительства региона Михаил Кузичев.
«Норильский никель» остается крупнейшим налогоплательщиком Красноярского края
ОАО «ГМК «Норильский никель» в 2009 г. обеспечило 13% доходов консолидированного бюджета Красноярского края, - сообщается в официальных материалах компании. За 12 месяцев «Норникель» перечислил в бюджет региона 16,7 млрд рублей. Напомним, что в целом доходы края составили примерно 124 млрд рублей.
Правительство не спешит раздавать бюджетные кредиты
Долг российских регионов банкам остается почти на уровне кризисного 2009 г. – 108,9 млрд рублей, свидетельствует анализ Минфина по итогам первого квартала. Между тем, раздавать длинные и дешевые бюджетные кредиты федеральный центр не спешит – по данным на 1 апреля их получили всего 10 регионов на общую сумму 24,9 млрд рублей. По всей видимости, в правительстве твердо уверовали, что острая фаза кризиса позади, и за регионы выталкивают на рынок, отмечают эксперты. Тем более что деньги за год для них подешевели вдвое.
В 2009 г. на 4,7% уменьшилась продажа товаров на рынках края
В 2009 г. из общего объема оборота розничной торговли края – 8,5% потребительских товаров приобретено населением на розничных рынках и ярмарках. По сравнению с 2008 г. продажа товаров на продовольственных, вещевых и смешанных рынках и ярмарках уменьшилась на 4,7% и составила 23,9 млрд рублей.
