SCHEDULE 1 Basic commercial terms of the Preliminary Lease in respect of the Lease of retail space № 3/1014-PLA between "Tengri Development" LLC and "Lady&Gentleman" LLC, dated the 28th of October, 2014 ("Agreement")
This Schedule is signed on the 28th of October, 2014 and forms an integral part of the preliminary agreement in respect of the lease of retail space № 3/1014-PLA entered into between "Tengri Development" LLC And "Lady&Gentleman" LLC on the 28th of October, 2014.
1) PREMISES. The Premises used by the Tenant under the Agreement (Section 2.2) consist of the retail area located on the 1 (first) floor of the Building consisting of approximately 1400.3 (one thousand four hundred and 3/10) square meters of Rentable Area of retail space and designated as unit No. 1-05 on the plan of the Premises in Schedule 4 to this Agreement (the "Premises").
2) GRAND OPENING DATE. The Landlord shall provide the Tenant with an estimated month of the Grand Opening Date (Section 2.5) 180 days prior to the beginning of such month and with a specific week 60 days prior to such week and with a specific date 30 days prior to such date, provided that such specific date shall not fall later than 90 (ninety) days from the Occupation Date.
Furthermore, the Landlord shall have the right to postpone the month of the Grand Opening Date within 4 (four) months from the first notification for a period not exceeding 90 (ninety) days from the last day of the month indicated in the first notification.
3) TERM OF THE LEASES. The Lease Term (Section 3.1) shall be 10 (ten) years starting on the Commencement Date.
3.1) The Short Term Lease shall come into effect on the Execution Date of the Short Term Lease and shall expire on the earliest of the following dates: on Three Hundred Sixtieth (360th) day following the Execution Date of the Short Term Lease or on the date of registration of the Lease (Effective Date).
3.2) The term of the Lease shall commence on the Effective Date and shall expire on the date of expiration of the Lease Term.
4) RENT. The initial amount of Rent payable by the Tenant to the Landlord under the Leases (Section 3.2) of the Agreement) shall be the amount of 1400 (one thousand four hundred fifty) US Dollars per square meter per year multiplied by the Rentable Area of the Premises (the area of the Premises determined in accordance with the Measurement Standard).
5) PAYMENT OF RENT. Starting from the Execution Date of the Short Term Lease, provided that Commencement Date is occurred or should have occurred but have not occurred under the responsibility of Tenant, the Rent payments shall be made monthly in advance, prior to commencement of each relevant month. Pursuant to this Agreement until the Execution Date of the Short Term Lease the Tenant shall pay the Initial Payments quarterly in advance, prior to commencement of each relevant quarter as described in Section 6.1.
6) SECURITY DEPOSIT. Instead of the Security Deposit payment under the Agreement (Section 3.5.4.) the Bank Guarantee shall be provided by Tenant in amount of 588 126 (five hundred eighty-eight thousand one hundred twenty-six) US Dollars, plus VAT, issued by a Bank approved by the Landlord.
7) SERVICE FEE. The Service Fee paid by the Tenant to the Landlord under the Agreement until the Execution Date of the Short Term Lease (Section 3.8.1.) shall be 250 (two hundred fifty) US Dollars per square meter of the Rentable Area of the Premises per annum. The Service Fee shall be subject to adjustment on each 1st of January following the Commencement Date, in accordance with the procedure envisaged in the Lease Agreements.
8) TURNOVER PERCENTAGE. The Turnover Percentage (Section 3) shall be defined as the difference, if positive, between: (i) the amount of the gross quarterly turnover (using cash registers) of the Tenant from its retail activities in the Premises, including the turnover of all subtenants of the Tenant (if any) within the Premises (net of VAT, sales tax or other similar taxes, and net of any refunds to customers for goods purchased and returned), multiplied by 8 (eight) %, and (ii) Rent for the relevant quarter calculated based on the Rentable Area of the Premises (net of VAT).
The amount of the gross turnover shall not include the amount of advance payments received from the customers for purchase of the gift certificates in the Premises (but in any event not more than the nominal value of the gift certificate).
9) MARKETING FEE. The Marketing Fee shall be paid by the Tenant to the Landlord under the Agreement until the Execution Date of the Short Term Lease (Section 3.8.4.) in the amount of 30 (thirty) US Dollars per square meter of Rentable Area of the Premises per annum.
10) OCCUPATION DATE. The Landlord shall hand over the Premises to the Tenant for carrying out the Tenant's Works (Section 4.5) at least 90 (ninety) days prior to the Grand Opening Date (the "Occupation Date").
11) TENANT'S WORKS PERIOD. The Tenant shall ensure that the Tenant's Works are completed within 90 (ninety) days from the signing of the Occupancy Act. If the Occupancy Act had not been signed due to the reasons for which the Tenant is responsible the Tenant’s Works shall be performed within 90 (ninety) days from the date when such act should have been signed according to the respective Landlord's notice. (Section 4.6). Such period being referred to as the "Tenant's Works Period".
12) INITIAL PAYMENT. The amount of each Initial Payment to be made by the Tenant to the Landlord for the right to lease pursuant to Section 6.1.1 of the Agreement shall be 490 105 (four hundred ninety thousand one hundred five) US Dollars. The above amount of each Initial Payment represents an initial estimate of the payments due to the Landlord in the amount of Rent for three months for the Tenant's use of the Premises pursuant to Section 6.1.1 of this Agreement.
13) ADVANCE PAYMENT OF SERVICE FEE AND MARKETING FEE. The Tenant shall make an advance payment to the Landlord of the Service Fee and Marketing Fee pursuant to Section 6.1.5 in the amount of 98 021 (ninety-eight hundred twenty-one) US Dollars. The above mentioned amount of the Service Fee and Marketing Fee represents the Landlord's initial estimate of the Service Fee and Marketing Fee due to be paid to the Landlord for 3 (three) months according to Section 6.1.5 hereof.
14) DESIGNATED USE. The operation of a store in accordance with the Tenant’s usual and existing business concept, which may be altered upon Landlord’s prior written consent. For the whole Lease Term the trade name of the Tenant shall be "Korpo".

При этом в течение 120 (ста двадцати) дней с даты уведомления Арендодателя о месяце, в котором наступит Дата Торжественного Открытия, Арендодатель вправе переносить такой месяц, но на период не более чем 90 (девяноста) дней с последнего дня месяца, указанного в первом уведомлении Арендодателя.
При этом в сумму валового товарооборота не включается сумма авансовых платежей, полученных от покупателей, при продаже подарочных сертификатов в Помещениях (но в любом случае в сумме, не превышающей номинал подарочного сертификата).
