25. Read and make a back translation.

3. DeliveryDates

3.1. The equipment specified in Clause 1 of the Contract will be delivered within the fol­lowing dates:_________________

3.2. The equipment is to be delivered in accordance with the specification, indicated in Appendix No.____________, only in complete set.

3.3. The date of delivery is considered to be the date of the stamp on the railway bill of the border station_________________, at which the cargo is to be submitted by the railway of the Sellers’ country to the railway which is to accept the cargo.

4. Terms of Payment

Payments at the rate of________ per cent I value of the delivered equipment are to be effected in (currency)______________

within 30 days of the date of receipt by the Buyers of the following documents for collec­tion:

4.1. Sellers’ specified invoice-one original and two copies (where Contract number is to be indicated);

4.2. full set of “clean-on-board” Bills of Lad­ing issued in the name of the Buyers, destina­tion Russian port or a copy of the interna­tional railway bill, issued in the name of__________________________

4.3. Sellers letter of guarantee certifying good quality and complete delivery of the equip­ment and its conformity to the conditions of the Contract – 2 copies;

4.4. release note issued by the Buyers’ in accordance with § 9 of the Contract;

4.5. copy of the Sellers’ letter confirming des­patch of the technical documentation provided for in §10 of the Contract to the address stated by the Buyers;

4.6. photocopy of the valid Export Licence, if such is required.

Payment is to be effected only for complete delivery.

____ per cent of the value of the delivered equipment is to be paid upon expi­ration of the guarantee period Payment of this amount is to be effected upon expiration of the guarantee period within 30 days of receipt by the Buyers of the Sellers’ invoice and provided there are no well- grounded claims from the Buyers.

4.7. The Buyers have the right to deduct while effecting payment of collection statements of the amounts provided for in the Contract i.e. penalty, insurance, etc. The afore-said reser­vation shall be included by the Sellers in the collection statement.

All Bank expenses for collection are to be paid as follows:

- all expenses of the Bank of the Sellers’ country to be borne by the Sellers;

- all expenses of the Vnesheconombank of the RF to be borne by the Buyers.

§ 3. Сроки поставки

3.1. Указанное в § 1 настоящего Контракта оборудование будет поставлено в следую­щие сроки:_______________

3.2. Оборудование поставляется соглас­но спецификации, указанной в приложение №_______ , только комплектно.

3.3. Датой поставки считается дата штемпеля на железнодорожной накладной погранич­ной Станции ____________, на которой товар передается железной дорогой страны Продавца железной дороге, принимающей товар.

§ 4. Условия платежа

Платежи в размере _________% стоимости поставленного оборудования будут произ­водиться в форме инкассо в_____________(валюта) в течение 30 дней с даты получения Поку­пателем следующих документов:

4.1. специфицированного счета Продавца одного оригинала и двух копий (с указани­ем номера Контракта);

4.2. полного комплекта чистых бортовых коносаментов, выписанных на имя Поку­пателя, назначением Российский порт или дубликата международной железнодорож­ной накладной, выписан-ной на имя_______________________

4.3. гарантийного письма Продавца о каче­стве и комплектности оборудования и со­ответствии его условиям контракта в 2 эк­земплярах;

4.4. разрешения инспектора Покупателя в соответствии с § 9 Контракта;

4.5. копии сопроводительного письма Продавца, подтверждающего отсылку преду­смотренной в § 10 Контракта техниче­ской документации в адрес, указанный Покупателем;

4.6. фотокопии действующей экспорт­ной лицензии, если таковая потребуется. Оплата производится только за комплект­ную поставку.

_________% стоимости поставленно­го оборудования оплачиваются по истече­нии гарантийного периода.

Оплата этой суммы производится по исте­чении гарантийного периода в течение 30 дней с даты получения Покупателем счета Продавца и при отсутствии обоснованных претензий у Покупателя.

4.7. Покупатель имеет право на удержа­ние при оплате инкассовых поручений сумм, предусмотренных Контрактом: по штрафам, страхованию и др. Указанная оговорка должна быть включена Продав­цом в инкассовое поручение.

Все банковские расходы по инкассо опла­чиваются следующим образом:

- расходы Банка страны Продавца за счет Продавца;

- расходы Внешэкономбанка РФ за счет Покупателя.
